$8.5M financing — 16.7M shares plus 16.7M warrants against 4.1M shares outstanding
Curis’ $8.5M financing funds its December CLL data readout, but the deal adds massive dilution and reprices existing warrants.
Curis is a single-asset oncology biotech advancing emavusertib in hematologic cancers, with its near-term story centered on the TakeAim Phase 2 CLL study and an initial data readout from five patients. The financing removes an immediate funding obstacle. Curis is raising approximately $8.5 million gross to support research and development and says the proceeds should fund operations through the initial CLL data expected in December 2026. 〔0〕 That is meaningful operationally because it gets the company to a defined clinical milestone without requiring another raise before that readout, assuming the transaction closes as planned.
| Metric | Filing figure | Comparison / implication |
|---|---|---|
| Gross financing | $8.5M | Before fees and expenses (Offering terms) |
| Common shares or equivalent issued | 16.67M | Versus 4.10M shares outstanding as of September 30, 2026 (Purchase Agreement, Section 3.1(g)) |
| Common warrants | 16.67M | Exercise price $0.60; exercisable after six months (Offering terms) |
| Existing January and August warrants | 4.86M | Exercise price reduced to $0.60 (Offering terms) |
| Placement-agent fee | 6.5% | Plus up to $95,000 of specified expenses (Placement Agency Agreement, Sections 3–4) |
| Resale registration deadline | Within 30 days after closing | 1.0% monthly liquidated damages for certain failures (Registration Rights Agreement, Sections 2(a), 2(d)) |
The cost is unusually large dilution for a short runway extension. The 16.67 million shares or pre-funded-warrant equivalents are roughly four times Curis’s 4.10 million shares outstanding; if all new common warrants are later exercised, the potential share count rises to roughly 37.4 million before other securities. Existing holders would represent only about 11% of that fully exercised count. The filing also cuts the exercise price on up to 4.86 million previously issued warrants to $0.60, effectively improving the economics for earlier warrant holders while adding more future supply.
This is funding, not clinical validation. The filing provides no new efficacy, safety, enrollment, or regulatory information; it simply finances Curis to reach the next CLL data point. The deal was already announced on October 16, 2026, so the financing itself is partly known rather than a surprise; the filing mainly formalizes the securities, warrant repricing, registration rights, and dilution mechanics.
Bottom line: Curis has bought enough time to reach its December CLL data milestone, but it paid for that time with exceptionally heavy dilution and cheaper warrants. The business story advances operationally, while the per-share ownership story deteriorates materially before the clinical readout arrives.
