$116M acquisition — $95M cash plus $21M stock; expected first-year adjusted EPS accretion
Centrus closes its Westerman acquisition, bringing a centrifuge supplier in-house and adding diversified industrial manufacturing—funded partly with stock.
Centrus is scaling a U.S. uranium-enrichment platform around its Piketon, Ohio expansion and Oak Ridge centrifuge-manufacturing buildout. The company has a $900 million Department of Energy award for expanded HALEU capacity, while its commercial expansion is aimed at a reported $2.3 billion contingent LEU backlog. The deal is now closed, not merely proposed. Centrus purchased 100% of Westerman for approximately $116.0 million, funded with $95.0 million of cash and $21.0 million of Centrus stock. That gives Centrus direct control of a supplier tied to its expansion rather than leaving a key manufacturing link outside the company. Strategically, this strengthens execution more than it transforms near-term earnings. Westerman already makes centrifuge casings and other major centrifuge components for Centrus, so the acquisition mainly internalizes an existing dependency and could improve delivery, cost, and capacity coordination. 〔0〕 The diversification is real but comes with integration and dilution tradeoffs. Centrus acquired Westerman’s non-nuclear business lines as well, including work serving oil and gas and other industrial customers; the target has approximately 400 employees across four facilities. 〔1〕 That broadens Centrus beyond uranium enrichment, but the filing gives no purchase-price allocation, standalone profit contribution, or quantified synergy target. Most of the transaction was already known. On September 11, Centrus disclosed advanced discussions to buy a domestic manufacturing supplier for roughly $115 million to $125 million, with about $160 million of prior-year revenue; today’s filing confirms the closing and identifies Westerman, with the final price near the low end of that range. The company’s accretion claim is still only a forward-looking promise. Management says the transaction is expected to be accretive to adjusted EPS in the first year, but it supplies no earnings estimate or timing detail beyond that statement. 〔2〕 Bottom line: This is a meaningful vertical-integration step for Centrus’s enrichment buildout, but the core surprise was limited because the acquisition and price range were already disclosed. The next proof point is whether Westerman produces the promised earnings contribution while supporting the larger expansion program rather than simply adding another operating business to manage.
