Laser Photonics Corp (LASE) · Oct 16, 2026 · Exec change
Founder-led reset — 2M-share equity award; ICT affiliates own ~19%
Laser Photonics’ CEO change puts founder Dmitri Nikitin in charge, aligning leadership with its anti-drone push while raising control and dilution questions.
Laser Photonics is trying to turn an industrial-laser base into a broader defense and semiconductor platform. The company entered 2026 after reporting 2025 sales of $8.3 million and year-end backlog of about $2.5 million, while its Laser Shield Anti-Drone system had moved from prototype work toward demonstrations with defense stakeholders.
This is a genuine leadership reset, not a routine title change. Founder Dmitri Nikitin is taking over the principal executive officer role as Executive Chairman, while former CEO Wayne Tupuola leaves the board and CEO position and interim president Ann Tewari returns to operations. 〔0〕 The company says it does not currently intend to appoint a separate CEO, concentrating strategy, operations and execution under Nikitin. (Item 5.02; Exhibit 99.1)
| Item | Filing detail | Business read |
|---|---|---|
| Leadership | Nikitin assumes principal executive officer duties for an initial three-year term (Employment Agreement) | More direct founder control over the defense and semiconductor pivot |
| Compensation | $400,000 annual salary; 2,000,000-share award; 50% vests at grant (Employment Agreement) | Meaningful equity alignment, but immediate dilution is possible once approved and granted |
| Ownership | ICT and affiliates own approximately 19% of outstanding common stock (Related-party disclosures) | The new CEO is closely tied to an already influential shareholder group |
| Related-party exposure | $33,575 of ICT services, $10,197 of guaranty fees, $310,814 payable to ICT and affiliates, and $50,615 of unpaid accrued loan interest at September 30, 2026 (Related-party disclosures) | Governance and oversight matter more because executive authority and affiliate relationships now overlap |
| Exit protection | Twelve months of salary continuation, COBRA reimbursement and accelerated vesting in specified termination cases (Employment Agreement) | Adds a material contractual cost if the transition fails |
The strategic fit is clearer, but execution remains unproven. Nikitin’s stated priorities—advancing LSAD, strengthening engineering, building a more disciplined sales organization and integrating prior acquisitions—match the company’s stated move toward higher-value defense and semiconductor applications. 〔1〕 That gives the pivot a technically experienced owner, but the filing supplies no new contract, revenue contribution or commercialization milestone; it changes who is accountable rather than proving the strategy is working. (Exhibit 99.1)
The insider overlap is the filing’s buried tension. Nikitin is managing partner of ICT, while ICT and affiliates own about 19% of LASE and already provide services, guarantees and technology licenses. 〔2〕 That can speed coordination across the affiliated technology group, but it also makes independent oversight and the terms of future related-party transactions more important than they were under a conventional outside CEO.
The departure disclosure is not fully consistent. The Item 5.02 discussion says Tupuola resigned for personal reasons and not because of a disagreement, while Exhibit 99.1 describes the resignation as being for medical reasons. 〔3〕 〔4〕 That discrepancy does not establish a business problem, but it leaves avoidable uncertainty around an abrupt CEO transition.
Bottom line: The filing gives LASE a more technically aligned, founder-led operating structure for its defense push, but it also concentrates authority and related-party exposure. It matters because execution now depends heavily on whether Nikitin can turn the LSAD and broader product portfolio into commercial results, not just a clearer story.
