Blink amends Envoy sale note, delaying $13M share payout

Envoy note amended — 2,166,667 CID shares at a $6 reference price

Blink’s Envoy sale is now structured around a contingent 2.17 million-share CID payout, with approval and registration still outstanding.

Blink is narrowing back to its core EV-charging equipment, network and services business after selling Envoy, its EV car-sharing unit; the company has described that disposal as part of focusing resources on charging operations.

The Envoy sale has closed, but Blink’s consideration is no longer immediate. The previously announced $1.0 million cash payment and $12.5 million convertible note have been reworked so the note remains outstanding rather than converting at the Envoy transaction closing. 〔0〕 (Amended Convertible Note)

Blink preserved roughly $13 million of headline value, but only as a contingent share distribution. Once CID receives the required stockholder approval and makes an effective resale registration statement available, the note is set to convert into 2,166,667 CID common shares, valued in the exhibit at $6.00 per share; Blink must then distribute those shares pro rata to its own stockholders. 〔1〕 (Conversion Consideration; Limited Joinder)

The filing adds execution risk rather than changing Blink’s charging business. The payout depends on two future conditions—CID shareholder approval and an effective registration statement—and CID can force conversion of up to 100% of the remaining note if its equity falls below $3 million or Nasdaq compliance becomes an issue. That makes the asset harder to value and leaves the timing and form of Blink’s eventual distribution unresolved. (Blink Conversion Conditions; Forced Conversion)

This is mainly a cleanup and risk-allocation amendment, not a new operating catalyst. The Envoy divestiture was already disclosed, so the new information is the delayed conversion mechanics, the registration requirements and the possibility of forced conversion—not a change to Blink’s core charging strategy. The note also retains maturity and default rights if the conditions are not met. 〔2〕 (Maturity)

Bottom line: Blink still has a path to receive and distribute a sizable non-cash Envoy consideration, but the filing turns that value into a conditional, delayed claim on CID rather than cash or immediately tradable shares. It matters for monetizing the divestiture, not for Blink’s core charging operations.
