RYTHM license amendment locks $64M, narrows Señorita rights

$64.25M Señorita license — 2026 annual fee of $64.25M; 2027 example rises to $67.334M

RYTHM’s license amendment clarifies Señorita’s channel restrictions and secures a $64.25M 2026 annual fee, but adds little new economics.

RYTHM is building an asset-light THC consumer-brand platform, monetizing owned intellectual property through Green Thumb while expanding Señorita and other beverages through mainstream retail and entertainment channels. Its April 2026 disclosure had already established $70 million of aggregate fixed annual licensing fees from Green Thumb, so this amendment is mainly a clarification and allocation of an existing arrangement rather than a fresh revenue surprise.

The recurring cash economics are now more explicit, not newly created. The amendment sets the 2026 annual fee under this license at $64.25 million, payable monthly, and illustrates a 2027 fee of $67.334 million if CPI is 2.4%—a 4.8% increase.

The Señorita carve-out protects RYTHM’s broader beverage strategy but narrows GTI’s license. GTI’s rights are limited to state-regulated dispensary channels, while RYTHM and its affiliates retain exclusivity outside those channels where legally permitted. 〔0〕 That matters because Señorita is being pushed beyond dispensaries into retail, venues, and other consumer channels; RYTHM keeps those opportunities from being handed exclusively to GTI.

The read versus expectations is therefore mixed, not a clean positive. The fee base is substantial and predictable, but the broad $70 million licensing framework was already public, and this filing does not announce incremental cash, a new customer, or new operating results. The real new information is the channel boundary and the agreement-level breakdown of the previously disclosed economics.

Bottom line: This strengthens the legal separation between RYTHM’s brand ownership and GTI’s dispensary operations while confirming large recurring licensing revenue. It matters strategically, but mostly refines an already-known deal rather than changing the earnings story today.
