Accounting recast — Operating income, EPS, balance sheet and cash flows unchanged
BILL’s accounting change moves card rewards from sales and marketing into revenue, resetting reported margins without changing earnings, cash flow, or economics.
BILL is broadening from its core accounts-payable and accounts-receivable software into a wider finance platform that includes expense management, cards, forecasting and procurement; Spend & Expense is part of that expansion.
This changes presentation, not the business. Starting with the quarter ended September 30, 2026, card rewards will be netted against subscription and transaction revenue instead of recorded in sales and marketing. 〔0〕
| Fiscal quarter | Total revenue, as adjusted | Revenue reduction | Sales & marketing, as adjusted | Operating income impact |

| Q2 FY2025 | $306.5M | $(76.8)M | $71.3M | None |
| Q1 FY2026 | $321.3M | $(85.3)M | $67.9M | None |

The main effect is lower reported revenue and gross profit, offset by lower operating expenses. The latest disclosed quarter is restated from $436.2 million of revenue to $342.2 million, while the same $94.0 million moves out of sales and marketing; the filing says the change does not affect operating income, net income, per-share results, the balance sheet or cash flow. 〔1〕
This is useful for comparability but not a growth signal. BILL says the net presentation better reflects the economics of the card-rewards program and matches prevalent industry practice, but it does not create revenue, improve profitability or alter cash generation. The market should therefore compare future results only with the newly adjusted history, rather than treat the lower revenue line as an operating setback.
Bottom line: This is a bookkeeping reset tied to BILL’s growing card business, not a change in underlying performance. It matters for reported revenue and margin comparisons, but it leaves the economic story essentially untouched.
