$722M asset sale — $722M cash at closing plus up to $150M 4Kscore earnout
OPKO’s asset-sale agreement with Labcorp brings $722 million upfront and a possible $150 million 4Kscore earnout, but removes its remaining diagnostics platform.
OPKO is already shrinking BioReference after selling earlier oncology and clinical-testing assets to Labcorp; its remaining diagnostics story was centered on New York/New Jersey clinical testing, urology, corrections services and the 4Kscore prostate-cancer test, while the company increasingly frames itself around biopharmaceutical development. This filing completes that strategic exit on paper. OPKO will sell the remaining identified BioReference assets to Labcorp, including 4Kscore, for substantial upfront cash, rather than continue operating the laboratory platform itself. The transaction covers clinical and women’s health testing, urology, corrections and the proprietary 4Kscore test. 〔0〕
| Transaction economics | Amount / timing |
|---|---|
| Cash paid at closing | $722 million, subject to revenue-based adjustment (Item 1.01) |
| Additional 4Kscore earnout | Up to $150 million over as long as 10 years (Item 1.01) |
| Regulatory termination fee | $28.88 million if specified approvals fail (Item 1.01) |
| Outside closing date | April 14, 2027, unless extended (Item 1.01) |
The immediate business benefit is liquidity and simplification, not operating growth. The $722 million upfront payment gives OPKO a large cash resource and removes the burden of running a diagnostics business that had already been reduced through prior divestitures. The filing, however, does not say how OPKO will deploy the proceeds or quantify the profitability of the assets being sold, so the cash benefit cannot be cleanly translated into future earnings from this document alone. The deal is not subject to a financing condition. 〔1〕
The trade-off is the loss of a continuing diagnostics revenue stream and direct 4Kscore upside. OPKO receives only a contingent earnout for future 4Kscore revenue, capped at $150 million and spread over up to a decade, while Labcorp takes control of commercialization and operating execution. That makes the transaction economically meaningful but also confirms that OPKO is exchanging recurring operating exposure for cash and a narrower biopharma focus.
The transaction is signed, not closed. HSR clearance and other customary conditions remain outstanding, with an outside date of April 14, 2027. The $28.88 million regulatory termination fee offers some protection, but it does not eliminate closing or execution risk. 〔2〕
Bottom line: This is a major portfolio reset: OPKO monetizes and exits its remaining diagnostics operations, giving up an operating business in exchange for cash and a contingent 4Kscore payout. It materially advances the shift toward biopharma, but the filing does not yet show how that cash will create replacement growth or earnings.
