CFO appointment — Mark Long replaces David Weigand effective immediately
Supermicro’s CFO appointment fills a role the board had already flagged, adding public-company finance experience while formalizing its governance reset.
Supermicro is scaling rapidly from a server maker into a broader AI-infrastructure provider, with fiscal 2026 sales of $39.1 billion, a fiscal 2027 revenue target of $65 billion–$72 billion, and a growing rack-scale infrastructure business. That growth has made finance, controls, and compliance capacity a central part of the operating story—not a side issue.
The filing completes a previously announced governance fix. Mark Long was appointed CFO effective October 14, replacing David Weigand immediately. 〔0〕 The board had already committed in December 2024 to finding a new CFO with large-public-company experience after an independent review identified process and oversight gaps, so the direction was known; the appointment itself is the new information.
Long brings the type of experience the earlier recommendation called for. The filing identifies prior CFO and strategy experience at Western Digital and leadership of a publicly listed technology SPAC. 〔1〕 That is a credible upgrade in public-company finance experience, but the filing gives no evidence yet of changes to reporting systems, controls, or compliance execution.
The package is substantial but not itself an operating event. Long receives a $725,000 base salary, a guaranteed $500,000 annual cash bonus, potential performance cash compensation of $225,000–$725,000, and proposed equity awards totaling 270,000 shares or units subject to committee approval and four-year vesting. The compensation signals that the company views the role as important during its expansion, while the two-year sign-on repayment provision is designed to support retention.
Bottom line: This is a meaningful governance milestone, but not a surprise strategic pivot. It closes a known CFO-search gap and adds experienced finance leadership; the real test is whether Long turns that appointment into stronger controls as Supermicro scales.
