Alector option repricing resets 4.05M shares to $1.87

Option repricing — ~4.05M options repriced to $1.87 from $6.48-$33.11

Alector’s option repricing resets 4.05 million underwater options to $1.87, supporting retention while exposing pressure to keep employees through its pipeline transition.

Alector is a clinical-stage neurodegeneration biotech shifting toward its wholly owned Alector Brain Carrier platform and a largely preclinical pipeline after discontinuing its lead partnered Alzheimer’s trial; the company says its cash runway extends through at least 2027. This filing is a retention repair, not a pipeline milestone. The board reset roughly 4.05 million employee options with exercise prices of $6.48 to $33.11 down to $1.87, the closing price on October 13. 〔0〕 That makes the awards economically relevant again without issuing a new block of shares or adding cash compensation, according to the filing.

The structure limits immediate dilution but ties the benefit to staying. Employees cannot exercise at the new price during the one-year retention period; an early exercise requires paying the original exercise price. Vesting schedules, expiration dates, and share counts are unchanged. The mechanism is therefore designed to retain staff through Alector’s transition toward ABC-enabled programs rather than provide an immediate cashable benefit.

The buried signal is that retention has become an operating issue. A majority of employee options were underwater, and the CEO alone received repricing on options covering 2.42 million shares, with the chief accounting officer included as well. 〔1〕 That points to pressure to keep the existing team aligned while the company advances mostly early-stage programs; it does not itself improve clinical validation, funding, or near-term revenue.

Versus expectations, this is a new but mixed corporate action. There is no clean consensus benchmark for an option repricing. It is mildly supportive for execution and avoids the alternative of broader equity grants, but the need to reprice deeply underwater awards highlights the difficult backdrop rather than changing Alector’s fundamental development outlook.

Bottom line: Alector has made its equity incentives usable again while preserving vesting and limiting immediate dilution. It matters as a retention measure during the pipeline transition, but it is not a business-advancing catalyst by itself.
