$7B exchange offer — Up to $7.0 billion of Kimberly-Clark notes plus cash
Kenvue’s debt exchange agreement advances the Kimberly-Clark acquisition, while removing major bondholder protections before closing.
Kenvue is now primarily a pending Kimberly-Clark acquisition rather than a standalone transformation story; shareholders approved the combination in January 2026, with closing expected in the fourth quarter. This filing advances closing mechanics, not the deal itself. Kenvue executed the supplemental indenture needed to support Kimberly-Clark’s exchange offers for up to $7.0 billion of new Kimberly-Clark notes plus cash. 〔0〕 The exchange offer and consent process were already announced on September 28, so the new information is the formal legal implementation rather than a surprise change in strategy.
The trade-off is meaningful for creditors. Once the exchange for a given note series settles, substantially all restrictive covenants, several nonpayment default triggers, the SEC reporting covenant, and certain merger or asset-transfer restrictions will disappear. 〔1〕 That makes the notes easier to fold into the post-acquisition capital structure, but leaves holders with materially less contractual protection.
This is a confirmation of transaction readiness, not confirmation that closing has occurred. The amendments become operative only when the relevant exchange offer settles, and settlement is expected after the October 27 expiration date and around the acquisition closing. 〔2〕 The filing still identifies consummation of the acquisition as a risk, so the legal groundwork is in place but the business combination remains conditional.
Bottom line: The filing makes the Kimberly-Clark takeover more operationally ready, but it is not a new deal catalyst. Its clearest fresh consequence is that existing Kenvue noteholders will surrender substantial protections if the exchange settles before closing.
Exchange offers expire October 27; settlement follows promptly
