$2.8B JV replacement — BlackRock acquires WCAS stake for approximately $2.8 billion
Humana’s new CenterWell joint venture with BlackRock replaces WCAS, cuts balance-sheet liabilities and capital costs while leaving adjusted EPS guidance unchanged.
Humana is trying to grow CenterWell’s senior-focused, value-based primary-care platform while navigating pressure on its Medicare Advantage economics; CenterWell had reported 27% year-to-date patient growth, and management had already maintained its 2026 adjusted EPS target of at least $9.00.
The transaction improves the funding structure more than the earnings outlook. BlackRock will acquire WCAS’s existing stake, valued at approximately $2.8 billion, and the replacement joint venture is expected to provide additional capital for existing clinics, new locations, and acquisitions. This gives CenterWell a new capital partner without forcing Humana to fund the entire expansion internally.
The most meaningful change is removing the legacy put-option burden. The new structure does not include a put option, which Humana expects will significantly reduce the liabilities associated with the existing WCAS arrangements and lower its cost of capital. 〔0〕 That is a cleaner balance-sheet setup for a business Humana says has matured, although the filing does not quantify the liability reduction or the new derivative’s fair value.
This is not an immediate profit upgrade. Humana reaffirmed adjusted EPS guidance of at least $9.00, which was already repeatedly affirmed, and said the transaction is not expected to materially affect 2026 adjusted earnings. 〔1〕 GAAP EPS could change because of the accounting treatment for the removed put arrangements, but that is a presentation and balance-sheet effect rather than evidence of stronger underlying operations.
The trade-off is less control over the clinics in exchange for cheaper growth capital. CenterWell retains operating control and can begin buying clinics from the joint venture in 2028, while BlackRock can initiate a sale process for remaining clinics after 2033 if CenterWell has not acquired them all. 〔2〕 The filing therefore advances CenterWell’s expansion plan, but it also creates a long-dated obligation to manage ownership transitions and minimum-return protections.
Bottom line: This is a strategically constructive capital reset for CenterWell, not a near-term earnings catalyst. It removes an unfavorable legacy financing feature, adds capacity for expansion, and leaves the already-known adjusted EPS outlook intact.
