Crescent Energy Co (CRGY) · Oct 9, 2026 · Share issuance
$1.15B equity financing — 92M shares at $12.50; ~$1.116B net proceeds
Crescent Energy prices a $1.15 billion stock offering to fund its Devon Eagle Ford acquisition; KKR anchors the raise, but new shares materially dilute holders.
Crescent is an acquisition-driven U.S. oil-and-gas consolidator centered on the Eagle Ford, and this financing follows its announced $4.2 billion cash purchase of Devon’s Eagle Ford assets. The assets cover roughly 90,000 net acres, making the transaction a major expansion of Crescent’s core basin footprint rather than a routine bolt-on.
The financing plan is now substantially locked in. Crescent priced 80 million shares at $12.50 and exercised the full 12 million-share option, producing roughly $1.15 billion of gross equity capital and approximately $1.116 billion of net proceeds.
| Item | Filing figure |
|---|---|
| Base shares issued | 80.0 million |
| Additional option shares | 12.0 million |
| Total shares offered | 92.0 million |
| Offering price | $12.50 per share |
| Expected net proceeds | Approximately $1.1159 billion |
| Class A shares outstanding after closing | 422.4567 million |
| KKR-affiliated purchase | 40.0 million shares |
This funds the acquisition, but the price is meaningful dilution. The 92 million new shares equal about 27.8% of the post-offering share count, while the KKR-affiliated holder is taking 40 million shares—half of the base deal and roughly 43% of the final offering. That anchor improves execution certainty, but it does not remove the per-share ownership dilution for existing holders.
The filing advances the Devon transaction without eliminating closing risk. Proceeds are earmarked for the cash consideration, but the offering is not conditional on the asset purchase closing; if the acquisition fails, Crescent can redirect the money toward debt repayment and general corporate purposes. 〔0〕 Until the acquisition closes, proceeds will temporarily reduce borrowings under the revolving credit facility. 〔1〕
Versus expectations, this is more execution than surprise. The equity raise was already telegraphed alongside the Devon deal; the new information is the completed pricing, full option exercise, final share count, and KKR participation. The filing therefore makes the acquisition easier to fund, but the equity cost is substantial enough to keep the overall read mixed rather than clearly favorable.
Bottom line: Crescent has secured a large portion of the cash needed for its Eagle Ford expansion, with KKR support providing execution confidence. The tradeoff is heavy equity dilution before the acquired assets have contributed to the business.
