$3.85B acquisition — 68 Mboe/d production, >600 Tier 1 locations, ~$140M annual synergies
Crescent Energy’s new acquisition adds 68 Mboe/d and 600+ Tier 1 locations, but the $3.85 billion deal brings major financing and execution risk.
Crescent is pursuing an acquisition-led scale strategy across the Eagle Ford, Permian and Uinta, with the Eagle Ford as a core operating basin and free-cash-flow growth as the stated objective. Its latest operating update showed stronger-than-expected production and continued investment across those regions, while the company has also been integrating the Vital Energy acquisition completed in December 2025.
This is a strategically coherent acquisition, not a diversification move. Crescent is buying Devon’s adjacent Eagle Ford assets for an estimated net purchase price of approximately $3.85 billion. The assets add roughly 68 Mboe/d of production and more than 600 Tier 1 locations, directly expanding the basin where Crescent already has operating, minerals and technical exposure. 〔0〕
| Filing metric | Detail |
|---|---|
| Net purchase price | ~$3.85 billion (Transaction announcement) |
| Acquired net production | ~68 Mboe/d (Transaction announcement) |
| Tier 1 inventory | >600 net locations (Transaction announcement) |
| Identified annual synergies | ~$140 million (Transaction announcement) |
| Net proved reserves | 151.8 Mboe (Independent reserves report) |
| 10% present worth of proved reserves | ~$2.34 billion (Independent reserves report) |
| 2025 asset-level revenue | ~$996.7 million (Devon asset financial statements) |
| 2025 excess of revenue over direct expenses | ~$731.8 million (Devon asset financial statements) |
| Pro forma short-term debt added | ~$1.99 billion (Pro forma balance sheet) |
| Pro forma long-term debt added | ~$1.98 billion (Pro forma balance sheet) |
The asset quality is the strongest part of the announcement. The independent reserve report assigns the properties 151.8 Mboe of proved reserves, including 67.0 Mboe of proved undeveloped reserves, and estimates $2.34 billion of present worth at a 10% discount rate. 〔1〕 That reserve value is not a fair-market valuation and excludes future income taxes, so it cannot by itself prove that Crescent bought the assets cheaply; it does, however, show that the headline consideration is materially above the filing’s standardized proved-reserve value and therefore depends on operating upside, inventory quality and synergies.
The deal materially advances Crescent’s Eagle Ford position, but it is not balance-sheet neutral. The pro forma balance sheet shows cash falling by $247.6 million while the transaction adds roughly $3.97 billion of short- and long-term debt. Crescent says it has financing commitments and expects to use cash, debt and potentially equity, but it also states that additional financing may not be available on satisfactory terms. 〔2〕 This makes the promised $140 million of annual savings important: the transaction’s success depends not only on production growth, but on Crescent converting those operating and financing assumptions into free cash flow.
The filing’s operating case is meaningful but not yet fully proven. Devon’s assets generated $996.7 million of revenue and $731.8 million of excess revenue over direct operating expenses in 2025, while the first half of 2026 showed $787.1 million of revenue and $624.0 million of excess revenue over direct operating expenses. Those figures are asset-level measures and exclude corporate costs, interest, derivatives, taxes and depreciation, so they should not be treated as Crescent’s eventual earnings contribution. The filing also does not provide a detailed debt-paydown schedule or a firm equity issuance amount.
Bottom line: This is a major strategic expansion that strengthens Crescent’s core Eagle Ford franchise with substantial production and inventory. The business fit is clear, but the announcement also commits Crescent to a large financing package, making deleveraging and realization of the claimed synergies central to whether the acquisition ultimately improves the broader story.
Transaction closing expected in Q4 2026 or early 2027
