$4M financing — ~$4M gross proceeds; 1.65M potential shares including placement-agent warrant
bioAffinity Technologies closed a $4 million financing to support CyPath Lung growth, but attached warrants materially increase future dilution.
bioAffinity is trying to turn accelerating CyPath® Lung adoption into a viable commercial business, but it entered this financing with a severe funding gap: CyPath Lung sales more than doubled through the third quarter of 2026, while the latest reported cash balance was $2.4 million and management said additional funding was needed to continue operations.
The financing addresses an immediate survival issue, not a new business milestone. The company closed a registered direct offering and concurrent warrant placement generating approximately $4 million before fees. That is meaningful relative to the $1.0 million cash balance disclosed as of August 3, 2026, but it is primarily runway capital for working capital and commercialization rather than funding tied to a specific clinical or regulatory breakthrough.
| Security / use | Terms |
|---|---|
| Common shares issued | 116,545 |
| Pre-funded warrant shares | 536,836 |
| Common warrants | 980,072 shares at $6.122 exercise price |
| Placement-agent warrants | 19,602 shares at $6.122 exercise price |
| Gross proceeds | Approximately $4 million |
| Placement-agent cash fee | 7.5% of gross proceeds plus $70,000 expenses |
| Proceeds use | Working capital, CyPath® Lung sales support, general corporate purposes |
The price is less punitive than a deeply discounted rescue raise, but the security package is highly dilutive. The shares and pre-funded warrants were sold at $6.122/$6.115, while investors also received warrants for 150% of the shares and pre-funded-warrant shares purchased. Including the placement-agent warrant, the transaction creates approximately 1.65 million potential common shares before any warrant exercises. The warrants require stockholder approval and have a five-year term, so the dilution is not all immediate, but it materially expands the future share count.
The deal keeps the commercialization story alive while underscoring that sales growth has not yet funded the business. Management says the proceeds will support expected growth in CyPath® Lung sales. 〔0〕 That fits the company’s reported commercial momentum, but the latest 10-Q showed $6.4 million of operating cash burn in the first half of 2026 and substantial doubt about continuing as a going concern.
The financing also temporarily closes the ATM channel while the new capital is absorbed. bioAffinity suspended use of its existing ATM prospectus supplement and said it cannot sell additional shares under that agreement until a new supplement is filed. This limits one near-term source of incremental equity issuance, although the transaction’s registration rights require a resale registration statement for the warrant shares within 45 days and effectiveness generally within 90 days, or 120 days after a full SEC review.
Bottom line: This is necessary bridge financing that materially improves near-term liquidity, but it does not change the underlying cash-burning business model. The market already expected another capital raise; the new information is the $4 million size and the substantial warrant overhang attached to it.
