Pono Capital Four, Inc. (PONO) · Nov 6, 2026 · Acquisition
$180M price cut — Base Purchase Price reduced from $380M to $200M
Pono’s acquisition filing cuts Blackstar’s merger consideration nearly half, expands the equity pool, and pushes the outside closing date to June 2027.
Pono is a newly formed SPAC trying to take Blackstar Orbital public, with Blackstar building reusable spacecraft, orbital transportation and reentry systems, plus in-space logistics and government-contracting capabilities. The headline change is a major reset to the deal economics. The amendment cuts the Base Purchase Price used to calculate the shares issued to Blackstar holders from $380 million to $200 million — a 47% reduction. That is not routine cleanup; it suggests the original terms no longer held, even though the lower consideration could benefit Pono’s existing shareholders by reducing the shares issued to the target’s holders.
The dilution trade-off is only partly favorable. Pono also increases the equity incentive reserve from 6.0 million to 7.4 million shares. 〔0〕 The lower merger consideration points toward less transaction-related dilution, but the larger employee-equity pool offsets some of that benefit and leaves the final capitalization unresolved until the S-4 provides the share counts and redemption assumptions.
The timetable has weakened, not broken. The outside closing date moves from March 31, 2027 to June 30, 2027. 〔1〕 The extension keeps the Blackstar transaction alive, but gives the parties three additional months to complete the registration statement, shareholder process and other closing conditions. The original merger announcement already made clear that the transaction remained subject to approvals, registration effectiveness and Nasdaq-related conditions.
Bottom line: The amendment preserves the Blackstar path but materially resets its price and delays completion. For Pono shareholders, the lower consideration is a potential dilution benefit, but the size of the haircut and added time signal a less secure transaction than the original $380 million agreement implied.
