Mangoceuticals approves $10M preferred offering—but raises no cash yet

$10M preferred offering — Up to 1,000,000 shares at $10 each; 8% cumulative dividend

Mangoceuticals approved a proposed $10 million Series D preferred offering. It could ease funding pressure, but no securities have been sold and the financing carries senior 8% rights.

Mangoceuticals is a cash-constrained telemedicine health-and-wellness company selling products through its MangoRx and PeachesRx platforms, while trying to fund growth and related intellectual-property initiatives. Its June 30, 2026 filing showed just $228,688 of cash, a $4.7 million six-month net loss, and an explicit need to raise additional capital; management said financing might not be available on favorable terms and that failure to obtain it could threaten the business plan.

This creates a meaningful funding option, but not funding itself. The Series B holder approved a new Series D class that could raise up to $10 million at $10 per share, with an 8% cumulative dividend and senior dividend and liquidation rights. 〔0〕 The capacity is large relative to the company’s latest reported cash balance, so successful completion would materially extend its financing runway.

The immediate balance-sheet relief is zero, while the future capital is expensive and senior. The company says the Series D documents have not been filed with Texas, are not effective, and that it may abandon the offering; no sales can occur before the SEC qualifies the Form 1-A offering statement. 〔1〕 〔2〕 If completed, the 8% cumulative dividend and senior claim would add a recurring financing burden ahead of common shareholders, with conversion terms creating additional dilution risk.

The shareholder-meeting notice is housekeeping, not a second catalyst. The combined 2025 and 2026 annual meeting is targeted for December 30, 2026, but the filing provides no new operating result or strategic change around it.

Bottom line: This modestly improves Mangoceuticals’ funding toolkit at a time when capital access is a core business risk, but it does not solve liquidity today. The real test is whether the company files and qualifies the offering and can actually sell the preferred stock on these terms.
