500M-vote preferred share — 500,000,000 votes limited to the reverse-split proposal
Faraday Future’s new preferred stock gives its executive chairman 500 million votes on the reverse-split proposal, underscoring listing pressure without adding operating capital.
Faraday Future is still a cash-constrained, loss-making EV and embodied-AI company trying to shift resources from limited FF 91 deliveries toward its FX vehicle and robotics plans, while warning that recurring losses and negative operating cash flow raise substantial doubt about its ability to continue as a going concern. It also completed a 1-for-150 reverse split on July 24, 2026, meaning another proposed split is a capital-markets survival measure, not an operating milestone.
The filing creates a voting mechanism, not financing. FFAI sold Executive Chairman Jiawei Wang one preferred share for $100, giving it 500 million votes only on the reverse-split proposal and requiring those votes to mirror the proportion of votes actually cast by common shareholders. The filing says, “The share of Series A Preferred Stock will have 500,000,000 votes, but has the right to vote only on the Reverse Stock Split Proposal.” 〔0〕
That makes passage easier procedurally, but does not solve the listing or business problem. Because the preferred vote excludes abstentions and other non-votes when mirroring common-stock votes, it reduces the impact of shareholder disengagement at the planned December 15 special meeting. The proposal itself was already expected: FFAI had publicly disclosed a potential reverse split of up to 1-for-80, so the new information is the unusually concentrated voting structure rather than the split strategy.
The negative signal is that FFAI needs another shareholder-engineering step so soon after its prior reverse split. The share is redeemable for $100 immediately after stockholders approve the proposal, and it contributes no meaningful capital to a company whose own recent disclosures emphasize funding constraints and going-concern risk. The filing states, “The outstanding share of Series A Preferred Stock will be redeemed in whole, but not in part” after approval. 〔1〕
Bottom line: This improves FFAI’s odds of obtaining authorization for another reverse split, but it does not advance production, demand, liquidity, or funding. Relative to what was already known, it is a small but negative update because the company is relying on increasingly elaborate capital-structure tools to preserve its listing while the underlying operating situation remains strained.
