Biovie Inc. (BIVI) · Nov 6, 2026 · Share issuance
$4.74M financing — $4.74M gross proceeds; 2.96M shares plus 2.96M warrants
BioVie’s financing adds $4.74M of liquidity for its clinical programs, but the deal also brings immediate share issuance and substantial warrant dilution.
BioVie is a cash-burning, clinical-stage biotech trying to turn small Phase 2 signals for bezisterim into a Phase 3 Parkinson’s program, while also advancing Long COVID and BIV201 in liver disease.
The raise modestly extends BioVie’s ability to keep developing its pipeline. The company agreed to sell securities to a single healthcare-focused institutional investor, with proceeds earmarked for working capital and general corporate purposes.
| Offering terms | Amount | |
|---|---|---|
| Common shares / equivalents (Offering) | 2,962,500 | |
| Purchase price (Offering) | $1.60 | |
| Common warrants | 2,962,500 | |
| Warrant exercise price | $1.70 | |
| Gross proceeds (Offering) | $4.74M |
The liquidity improvement is real but not transformative. BioVie had approximately $9.0 million of cash at June 30, 2026 and used approximately $19.0 million in operating cash during fiscal 2026, so this raise represents roughly one-quarter of its latest annual operating cash use. It helps fund the next stage of development, but does not remove the company’s dependence on further financing.
The cost is substantial potential dilution. The deal adds 2.96 million shares or equivalents immediately, plus warrants for another 2.96 million shares exercisable at $1.70. That is a standard financing structure for a small biotech, but it limits how much of the new cash represents clean progress for existing shareholders.
This funds the existing story rather than changing it. BioVie’s Phase 2 Parkinson’s findings and planned FDA discussions on a Phase 3 design were already public before this filing; the new information is the size and terms of the capital raise. 〔0〕
Bottom line: The financing reduces near-term funding pressure, but it is a bridge rather than a breakthrough. It modestly advances BioVie’s development plans while adding meaningful dilution and leaving additional capital needs in view.
FDA Phase 3 feedback expected before year-end
