$698M Lee sale — $698.2M closing cash; up to $250M earnout
Kontoor Brands completed its Lee sale to Authentic Brands Group, converting a planned divestiture into cash for buybacks, debt reduction and a narrower Wrangler-Helly Hansen portfolio.
Kontoor is moving from a three-brand portfolio toward a more focused Wrangler-and-Helly-Hansen platform: it bought Helly Hansen in 2025, put Lee into discontinued operations, and announced the Lee divestiture in May 2026 as a way to redirect capital toward higher-growth brands. The sale’s direction was therefore already known; this filing mainly confirms execution and the actual cash mechanics.
The planned divestiture is now complete, removing execution risk around the transaction. Kontoor closed the sale of Lee to Authentic Brands Group on November 2, 2026. 〔0〕 That is meaningful for the business because the company can now operate and allocate capital around its remaining brands rather than around a pending portfolio separation.
The headline $750 million price translates into less immediate cash than the announcement suggested. Kontoor received approximately $698.2 million at closing after cash, debt, working-capital and restructuring-holdback adjustments, with estimated after-tax proceeds of $588.4 million. The additional earnout is potentially valuable but remains dependent on Lee’s performance under Authentic’s ownership, so it should not be treated like cash received today.
| Transaction metric (section) | Amount | Comparison |
|---|---|---|
| Closing cash consideration (Note 3(A)) | $698.2M | $750.0M headline price |
| Estimated net after-tax cash proceeds (Note 3(A)) | $588.4M | — |
| Maximum contingent earnout (Note 3(E)) | $250.0M | 5-year period |
| Estimated earnout fair value (Note 3(E)) | $77.0M | — |
| Estimated after-tax gain (Note 3(B)) | $395.9M | — |
The capital-allocation follow-through is the real business consequence. Kontoor says it has already applied part of the proceeds to debt reduction and expects to use $400 million for an accelerated share repurchase plus another $50 million for open-market repurchases. The filing does not reflect future debt repayment or buybacks in its pro forma numbers, so the eventual effect on leverage, interest expense and per-share earnings is still ahead rather than embedded here.
The portfolio becomes more focused, but not immediately larger. The pro forma continuing-operations data largely removes Lee rather than demonstrating new operating growth: nine-month pro forma revenue is $1.879 billion versus $1.883 billion historical, while pro forma continuing income is $80.4 million versus $84.5 million. The transaction therefore advances the strategic cleanup and creates capital flexibility, but the filing itself does not yet prove that Wrangler and Helly Hansen will replace Lee’s earnings power.
Bottom line: This is an execution-positive completion of an already expected portfolio sale, with a meaningful cash release but a smaller immediate payout than the headline price. It matters because Kontoor can now deploy the proceeds, though the operating benefit depends on what the remaining brands and capital allocation deliver next.
