Reed's, Inc. (REED) · Nov 6, 2026 · Material agreement
$2.5M equity deadline — $7.5M received vs ~$10.0M planned; another $2.5M required by November 20
Reed’s debt amendment buys time after delayed private-placement funding, but adds a hard $2.5M equity deadline and liquidity test.
Reed’s is a cash-constrained beverage company still funding operating losses while trying to stabilize its balance sheet. At June 30, 2026, it had $2.4 million of cash, $9.2 million of debt, and continued negative EBITDA; its September refinancing had already made a $10 million equity contribution a condition for avoiding further financing pressure.
The amendment is a rescue extension, not a clean financing win. Reed’s says the private placement has been delayed and is now expected to close by November 20, while only $7.5 million of the previously planned roughly $10 million has been received. 〔0〕 The lenders have therefore replaced the prior equity requirement with a new $2.5 million cash-equity deadline and charged a non-refundable $25,000 extension fee. 〔1〕
| Measure | November 6, 2026 | Comparison |
|---|---|---|
| Private-placement proceeds received (Current Report) | $7.5M | ~$10.0M planned |
| Required additional cash equity (Loan Amendment) | $2.5M | By Nov. 20, 2026 |
| Cash / Inventory / AR liquidity floor (Loan Amendment) | $11.0M | Ongoing minimum |
| Extension fee (Loan Amendment) | $25,000 | Non-refundable |
The new covenant makes the near-term liquidity risk explicit. Reed’s must maintain at least $11 million of combined cash, inventory, and accounts receivable, initially at any time and later at each month-end. 〔2〕 That gives the company a short runway to complete the delayed funding, but it does not improve the underlying operating cash-generation problem.
The lender concession prevents an immediate breach but raises the stakes. The prior September amendment extended debt maturity to June 30, 2027, but required $10 million of equity by November 6; this filing shows that condition was not met on schedule. The new agreement buys roughly two weeks, yet failure to obtain the additional equity or pay the fee becomes an Event of Default.
Bottom line: Reed’s has bought time, not solved its financing problem. The amendment is materially negative because it confirms the planned raise is delayed and turns the next two weeks into a hard liquidity test.
