$100M subordinated debt — Up to $100M at 7.50%, due November 15, 2036
NB Bancorp’s debt financing adds up to $100 million of Tier 2 capital, supporting liquidity and shareholder returns but increasing funding costs.
NB Bancorp is a post-acquisition growth bank still integrating the BankProv platform, expanding commercial and mortgage-warehouse lending, and converting strong recent earnings into scale. It was already well-capitalized as of September 30, 2026, with a 12.0% total capital ratio, while continuing to reduce the non-strategic enterprise-value loan portfolio.
The financing adds balance-sheet flexibility, not a rescue capital raise. NB Bancorp agreed to issue up to $100 million of subordinated notes intended to qualify as Tier 2 capital, with proceeds available for liquidity, bank capital, dividends and common-stock repurchases. 〔0〕
The trade-off is a meaningful incremental funding cost. The notes carry a 7.50% fixed-to-floating coupon and mature in 2036, so the financing strengthens regulatory-capital capacity but adds roughly $7.5 million of annual interest expense before the floating-rate period and transaction costs if the full amount is issued. 〔1〕 〔2〕
Relative to the standing story, this is modestly additive but not transformational. Capital is being raised while the company already reports a well-capitalized position, so the filing looks more like preparation for continued growth and capital returns than evidence of an immediate balance-sheet shortfall. The use of proceeds for buybacks and dividends also makes the financing more shareholder-oriented, but it means some of the new debt may support distributions rather than productive asset growth.
Bottom line: This gives NB Bancorp more room to grow and manage capital, but it is not free: the stronger capital cushion comes with a high-cost layer of subordinated funding. The event modestly advances the growth story without changing it.
