NextNRG debt exchange cuts $7M owed, but Nasdaq fix remains

$7M debt exchange — $7.0M cancelled; exchange alone does not satisfy Nasdaq’s equity requirement

NextNRG’s debt exchange cancels $7M owed to its CEO, improving equity—but 18% preferred terms and Nasdaq uncertainty keep the fix incomplete.

NextNRG is trying to shift from an energy and fuel-services base toward AI-managed microgrids, battery storage, EV charging and a utility operating system, while a financing overhaul and Nasdaq listing deficiencies have become immediate constraints.

The exchange removes a real near-term burden, but it is not a clean balance-sheet reset. The company cancelled $7.0 million owed to CEO and director Michael Farkas in exchange for Series D preferred stock, with the related security interests and guarantees released. That improves reported equity and removes repayment pressure on the exchanged notes, but other amounts owed to Farkas and his affiliates remain outstanding.

The new preferred stock carries a substantial economic claim ahead of common shareholders. Series D accrues an 18% annual dividend compounded monthly, paid by increasing its stated value rather than cash while Series C remains outstanding. At the initial $2.20 conversion price, the $7.0 million exchange equates to roughly 3.18 million common shares before accreted dividends, although conversion is initially capped at 1.684 million shares, or 9.99% of outstanding common stock. The security votes on an as-converted basis and sits ahead of common stock for dividends and liquidation proceeds.

The filing helps the Nasdaq repair effort, but does not solve it. Management says the exchange should eliminate $7.0 million of indebtedness and strengthen stockholders’ equity, yet explicitly acknowledges that the transaction by itself is insufficient to meet Nasdaq’s $2.5 million equity requirement. The company still awaits the Nasdaq Hearings Panel decision, so the listing risk remains open rather than resolved.

The related waiver creates a possible funding route, but with more dilution and investor control. The Series C holders permitted a potential equity purchase facility of up to $25.0 million, with at least 20% of any proceeds used to redeem Series C preferred stock. That may give NextNRG a path to raise cash and improve its capital structure, but only if it sells shares, and the Series C investors retain significant consent rights over the capital stack.

Bottom line: This is modestly helpful because $7 million of insider obligations is extinguished, but the company has exchanged repayment risk for an expensive, voting preferred claim while still lacking a Nasdaq compliance resolution. The filing strengthens the survival plan without materially changing the underlying distress story.
