Debt refinanced — $500M senior notes due 2036
Public Storage’s debt offering is now complete: $500 million of 5.6% notes largely refinance short-term obligations rather than change the business plan.
Public Storage is a large self-storage REIT using acquisitions, development and a strong balance sheet to expand its portfolio. Its recent capital plan already included refinancing upcoming maturities while funding growth; the company had $10.1 billion of total indebtedness and $650 million maturing in 2026 as of March 31, 2026.
The financing closed as expected, not as a new strategic surprise. Public Storage Operating Company completed the previously announced $500 million offering, with Public Storage providing the guarantee.
| Measure | New notes | Key terms |
|---|---|---|
| Principal (Item 1.01) | $500M | 2036 maturity |
| Coupon (Item 1.01) | 5.600% | Semiannual payments |
| Maturity (Item 1.01) | Nov. 15, 2036 | — |
| Unencumbered-assets covenant (Item 1.01) | 125% | Of unsecured debt |
The transaction mainly extends the liability schedule. The accompanying offering documents say the roughly $488.2 million of net proceeds are intended to repay commercial paper and partially repay the $650 million of 1.500% notes maturing in 2026, replacing shorter-dated funding with a 10-year obligation. That improves maturity visibility, but it also locks in a materially higher coupon than the debt being retired; this is balance-sheet housekeeping, not incremental operating growth.
The cost is higher interest expense, but the filing does not signal balance-sheet stress. The notes are unsecured, rank equally with PSOC’s other unsecured debt, and carry customary covenants including a 125% minimum unencumbered-assets ratio. 〔0〕 The company’s recent disclosed credit profile remained investment grade, with A2/A ratings and a 4.1x net debt plus preferred equity-to-EBITDA ratio at March 31, 2026.
Bottom line: This keeps Public Storage’s financing plan on schedule and pushes near-term maturities outward, but it does not materially change the underlying business story. It is a completed, previously disclosed refinancing rather than a fresh operating signal.
