Bid-price deficiency — $1.00 minimum bid; cure by May 4, 2027
Barfresh’s Nasdaq notice adds a $1 bid-price deficiency to its existing market-value problem, increasing pressure to restore listing compliance.
Barfresh is trying to scale its frozen-beverage business while integrating Arps Dairy and completing a new Defiance, Ohio facility; its latest operating update already acknowledged a slower-than-planned production-efficiency ramp and revised 2026 guidance.
The filing adds a second Nasdaq compliance problem, not an operating breakthrough. The company says its shares failed to maintain a $1.00 closing bid for 30 consecutive business days, giving it until May 4, 2027 to regain compliance.
The immediate damage is greater listing pressure rather than a change to demand or production. Barfresh already had a separate $35 million market-value deficiency with a February 1, 2027 deadline, so this notice compounds an existing compliance problem and may force a reverse split or other capital-market action if the share price does not recover. The filing says the company may consider available options, but provides no concrete cure plan. 〔0〕
The business story is therefore more fragile, even though Nasdaq has not initiated an immediate delisting. The 180-day cure period preserves time, and a further compliance period may be available if Barfresh meets other listing standards, but the filing adds another condition the company must solve while it is still working through its facility and efficiency transition.
Bottom line: This is a modest setback that compounds Barfresh’s already-known Nasdaq risk. It does not change the beverage strategy itself, but it raises the capital-markets pressure around executing that strategy.
