Repligen Corp (RGEN) · Nov 6, 2026 · New debt
Debt refinanced — 0.25% coupon; $458.6M cash issuance; $143.2M of 2028 notes remain
Repligen’s debt refinancing is complete: a lower coupon and longer maturity improve flexibility, but the company adds substantial new debt after BioLife.
Repligen is a bioprocessing-equipment and consumables company in an expansion phase, using the recently completed BioLife acquisition to broaden its cell-therapy offering while demand and full-year growth guidance are improving.
The financing is now complete, not newly discovered. Repligen issued $1.0 billion of 0.25% convertible notes due 2031, with roughly $541.4 million exchanged for its 2028 notes and $458.6 million sold for cash. Because the transaction terms were announced before closing, the event is confirmation rather than a fresh strategic surprise.
The structure improves near-term financing flexibility. Most of the 2028 maturity has been pushed out to 2031, while the coupon falls from 1.00% to 0.25%. Only $143.2 million of the old notes remains outstanding. That reduces refinancing pressure and lowers stated cash interest, useful after the BioLife acquisition.
The trade-off is a materially larger debt balance. The cash subscription adds $458.6 million of new borrowings, so this is not merely a maturity swap; it gives Repligen more liquidity but also increases financial obligations as it integrates BioLife. The new notes initially convert at approximately $226.37 per share, a 20% premium to the October 29 closing price, which limits immediate dilution but leaves future equity dilution as a possibility.
| Label | New Notes | 2028 Notes | Cash / reference |
|---|---|---|---|
| Principal (New Notes) (New Notes) | $1.0B | $456.8M exchanged | $458.6M issued for cash |
| Coupon (New Notes) | 0.25% | 1.00% | |
| Maturity (New Notes) | 2031 | 2028 | |
| Conversion price (New Notes) | $226.37 | 20% premium | |
| 2028 notes remaining (New Notes) | $143.2M |
Bottom line: This is a completed, previously telegraphed refinancing that gives Repligen cheaper and longer-dated debt plus fresh liquidity, but at the cost of higher leverage. It supports the BioLife-led expansion story without materially changing it today.
