In line — FY26 guidance unchanged; Q3 revenue $53.9M vs. $47.1M
Array Digital Infrastructure earnings show improving tower revenue and operating progress, but negative free cash flow and lower tenancy temper the story.
Array is in its first full year as a standalone tower company, rebuilding around roughly 4,455 towers, T-Mobile’s long-term site commitments, and the sale of remaining spectrum after exiting wireless operations. The prior setup already called for tower-tenancy improvement and further spectrum monetization; the second-quarter release highlighted sequential tenancy growth and ongoing spectrum closings.
The tower business is growing, but not cleanly accelerating. Third-quarter revenue rose 14% year over year to $53.9 million, led by site rental revenue, and selling, general and administrative costs fell 11%. But adjusted EBITDA declined to $63.7 million from $85.1 million because last year included more spectrum-related income, while the tower tenancy rate slipped to 0.98 from 1.03 at year-end. The filing says, “Array reported total operating revenues from continuing operations of $53.9million for the third quarter of 2026, versus $47.1million for the same period one year ago.”
| Metric | Q3 2026 | Q3 2025 | 2026 YTD | 2025 YTD |
|---|---|---|---|---|
| Total operating revenue (Statement of Operations) | $53.9M (+14%) | $47.1M | $160.0M (+56%) | $102.6M |
| Adjusted EBITDA (Reconciliation) | $63.7M (-25%) | $85.1M | $182.4M (+28%) | $142.2M |
| Adjusted OIBDA (Reconciliation) | $18.3M | $6.1M | $51.2M | $(20.7M) |
| Tower tenancy rate (Summary Operating Data) | 0.98 | 1.02 | 0.98 | 1.02 |
| Adjusted free cash flow (AFCF reconciliation) | — | — | $(162.0M) | — |
The biggest weakness is cash conversion, not reported earnings. Array generated negative $188.2 million of operating cash flow from continuing operations through nine months and reported adjusted free cash flow of negative $162.0 million. The accounting profit is also heavily shaped by a $566.5 million gain on spectrum sales and $116.1 million of equity earnings from unconsolidated entities, so the headline $587.4 million of continuing net income overstates the cash earnings of the operating tower business. The filing’s own release notes that Array has shifted to “a standalone tower company,” making this cash-flow gap especially important to the new story. 〔0〕
Management did not raise the bar. Full-year revenue, adjusted OIBDA, adjusted EBITDA, and capital-expenditure ranges were all unchanged at $205–$215 million, $60–$75 million, $220–$235 million, and $25–$35 million, respectively. That is consistent with the existing transition plan rather than evidence of a better-than-expected trajectory. The roughly $30 million of remaining T-Mobile spectrum sales received regulatory approval on October 7, 2026, but still require FCC finality and other closing conditions; that is a balance-sheet catalyst, not recurring tower growth. 〔1〕
Bottom line: Array is making visible progress building tower revenue after the wireless exit, but the quarter does not yet prove a self-funding tower platform. Unchanged guidance keeps the story broadly on track, while weak cash flow and lower tenancy make the overall read slightly negative versus the hoped-for operating improvement.**
Remaining T-Mobile spectrum transactions expected to close in 2026
