Brookdale earnings beat EBITDA but cut 2026 guidance

Guidance cut — RevPAR 7.4%-7.9% and EBITDA $495M-$502M, down from 8%-9% and $502M-$516M

Brookdale’s earnings beat on adjusted EBITDA, but slower occupancy growth and a Mississippi fire force 2026 guidance cuts.

Brookdale is in the middle of a portfolio reset: shedding weaker or leased communities, buying selected leased assets, and trying to convert occupancy and pricing gains into mid-teens EBITDA growth. Its prior 2026 plan called for 8%-9% RevPAR growth and $502-$516 million of Adjusted EBITDA, with occupancy improvement doing much of the work.

The quarter was operationally better, but the key growth engine slowed. Same-community RevPAR rose 5.4%, driven by a 4.8% increase in RevPOR and a 50-basis-point occupancy gain, while Adjusted EBITDA reached $124.3 million versus roughly $123.9 million expected in the published estimate. But consolidated occupancy of 83.1% came in below the approximately 83.3% expectation, and management said it fell short of its RevPAR goal because occupancy growth slowed late in the quarter. 〔0〕

The guidance cut matters more than the small quarterly EBITDA beat. Brookdale reduced both full-year targets, citing occupancy carryover, increased marketing spending, and the expected effect of the Clinton, Mississippi fire. That changes the near-term story from “occupancy is tracking toward an acceleration” to “pricing and cost control are working, but occupancy execution is not yet reliable.”

The balance-sheet and portfolio actions provide support, but do not erase the reset. Brookdale completed a 17-community acquisition, agreed to buy another 30 leased communities for $290 million, and expects the latter to reduce annual cash rent by about $17.8 million if it closes. Those actions improve ownership economics and extend the portfolio transition, while refinancing pushed mortgage maturities out to 2028; however, liquidity fell $42.3 million from the prior quarter and the acquisitions require cash and non-recourse debt.

Bottom line: Brookdale is still improving rates, margins, and same-community performance, but occupancy is not advancing fast enough to support the original 2026 plan. The guidance cut makes this a modestly negative earnings update despite the EBITDA beat.
