95% seller ownership — Net Cash below $12.5M
Onconetix amended its Realbotix merger: sellers can receive 95% of the combined company if cash is below $12.5 million, with closing pushed to March 2027.
Onconetix is a cash-constrained biotech shell attempting to pivot into Realbotix’s robotics business through a share exchange, with closing dependent on financing, regulatory filings and shareholder approval. The original transaction already gave Realbotix’s seller 75%–90% of the fully diluted company depending on Onconetix’s net cash at closing.
The amendment signals that the deal is being negotiated around a weaker cash position. If the parties close with Net Cash below $12.5 million, the seller will own 95% of Onconetix’s fully diluted shares—an additional dilution step beyond the original agreement’s disclosed 75%–90% range.
The extra time helps preserve the transaction but does not improve the economics for existing holders. The End Date moves to March 31, 2027, and Net Cash now includes the unpaid principal and accrued interest on the Grid Promissory Note. 〔0〕 The extension reduces near-term deadline pressure, but the new 95% threshold makes clear that completing the pivot may require accepting near-total ownership by Realbotix’s seller.
This is not a new strategic pivot; it is a materially worse transaction outcome within an already announced pivot. The merger remains subject to the future registration statement and shareholder approval, so the filing advances process but does not establish that closing is imminent. 〔1〕
Bottom line: The deal remains alive, but the amendment confirms that Onconetix’s weak cash position could leave legacy shareholders with only 5% of the post-closing company. That is a modest setback to the transaction’s existing-holder economics, partly offset by more time to complete it.
