Tempest Therapeutics Nasdaq warning adds another listing hurdle

Nasdaq deficiency — Below $1.00 for 30 business days; compliance deadline May 3, 2027

Tempest Therapeutics received a Nasdaq deficiency notice after its stock stayed below $1, adding another compliance hurdle as its CAR-T pipeline advances.

Tempest is a cash-constrained clinical-stage biotech rebuilding around acquired CAR-T programs: TPST-2003 is moving toward a potential registrational study, while TPST-4003 is expected to enter an investigator-initiated trial in the fourth quarter of 2026. The company had already disclosed a separate Nasdaq stockholders’ equity deficiency in May 2026, so this filing adds to an existing compliance and financing overhang rather than creating an entirely new concern.

The immediate consequence is limited, but the problem is real. Nasdaq says the stock closed below the $1.00 minimum bid for 30 consecutive business days, but the notice does not immediately suspend trading or disrupt operations. 〔0〕

Tempest has a defined cure period, not a delisting order. It has until May 3, 2027 to produce a closing bid of at least $1.00 for 10 consecutive business days. Nasdaq may offer another 180 days if Tempest meets the other Capital Market standards and commits to a reverse split if needed, but that would make the company’s already difficult capital-markets position more visible rather than solve the underlying operating challenge.

This is negative mainly because it raises execution and dilution risk around the pipeline. The filing does not change TPST-2003 data, TPST-4003’s development schedule, or the company’s stated plans; it does, however, add another condition Tempest must manage while trying to fund and advance those programs. Against the earlier equity deficiency, the direction was partly visible, but the specific bid-price violation is new.

Bottom line: This does not threaten the business immediately, but it compounds Tempest’s existing listing and financing pressure. The story is still driven by clinical execution, now with a second Nasdaq hurdle to clear by May 3, 2027.
