$10.19617/share backstop — 120M target Series G shares; up to 60% equity consideration
Axon’s Skydio investment is now contractually backstopped at $10.19617 per share, deepening its drone strategy while limiting immediate cash needs.
Axon is building a connected public-safety platform around cameras, cloud software, drones, and real-time response tools; Skydio is the drone-side extension of that strategy. This agreement turns that strategic relationship into a much larger ownership commitment. Axon has agreed to backstop enough Skydio Series G shares that, across the primary financing, tender offer, prior secondary transactions, and this agreement, it will acquire 120 million shares. 〔0〕
The key new information is execution certainty, not a new strategic direction. The filing prevents participating venture investors from tendering into the public offer and commits them to sell any remaining required shares directly to Axon after the tender offer. 〔1〕 That makes the 120-million-share target less dependent on tender-offer participation, although the backstop remains conditional on the primary transaction closing and other closing conditions.
Axon is using stock to reduce the immediate cash burden of the investment. The backstop price is fixed at $10.19617 per Skydio share, but as much as 60% of each seller’s consideration may be paid in Axon common stock. 〔2〕 That preserves cash for Axon, while shifting part of the funding cost into dilution and giving Skydio investors continued exposure to Axon’s public-company upside.
The dilution is capped, but the final mix is not yet known. Equity issued across this transaction and the related Skydio purchases cannot exceed 19.99% of Axon’s pre-announcement shares; any excess equity consideration converts to cash. 〔3〕 The filing therefore establishes a ceiling on dilution, not the final number of Axon shares or total cash ultimately required.
Bottom line: This is a meaningful reinforcement of Axon’s drone strategy and makes the larger Skydio stake more executable, but it is still a financing and closing mechanism rather than a completed operating acquisition. The upside to the business story is strategic reach; the trade-off is potential dilution and a still-pending close.
