Fox Factory earnings confirm weak sales despite debt reset

In line — Adjusted EBITDA ~$38.4M ex-refunds, within $38–42M preliminary range

Fox Factory’s earnings confirm the weak quarter previewed in October: sales fell sharply, while the Marucci sale materially reduced debt and leverage.

Fox Factory is in the middle of a portfolio reset: it has sold Marucci, is concentrating on its core performance-products businesses, and is trying to repair execution across supply chain, aftermarket upfits, and cost structure. The October 16 update had already warned that Q3 would land below the original outlook and that full-year guidance would be cut, so this filing mainly confirms rather than changes that standing story.

The quarter itself was broadly in line with the revised bar, not a fresh earnings surprise. Revenue was $338.4 million, within the previously disclosed preliminary range of $336 million to $340 million, while adjusted EBITDA was approximately $38.4 million excluding the roughly $12 million tariff refund, also within the preliminary $38 million to $42 million range. The reported $0.54 adjusted EPS looks well above the published ~$0.32 consensus, but that consensus was overtaken by the company’s October warning; the more relevant comparison is the already-public preliminary result.

Underlying demand remains the problem. Total sales fell 10.1%, with Aftermarket Applications down 20.4% and Specialty Sports down 14.4%; the only growth engine was Powered Vehicles, up 4.1%, helped by a 28.8% increase in powersports demand. The company specifically cited chassis shortages, dealer and consumer pressure, channel destocking, order timing, and lost divestiture revenue.

The operating improvement is real but partly assisted by non-repeatable items. Adjusted operating expenses fell to $68.7 million from $85.7 million, and adjusted EBITDA margin improved to 14.9%, but EBITDA included an approximate $12 million benefit from IEEPA tariff refunds. The nine-month EBITDA total was still slightly below last year at $131.6 million versus $133.3 million, despite those refunds.

The Marucci sale materially strengthens the balance sheet, even as it shrinks reported revenue. Fox used roughly $200 million of sale proceeds to repay debt, cutting total debt by $270.3 million during the quarter and reducing net leverage to about 2.4x. That improves financial flexibility and lowers interest burden, but it is a cleanup action rather than evidence that the core businesses have returned to growth.

The company is still relying on execution and cost cuts to carry the recovery. Fox captured approximately $41 million of its targeted $50 million in gross savings through nine months, but most of those savings were offset by freight, commodities, and fuel inflation. The filing also keeps the door open to more asset rationalization, meaning the business is still being reshaped rather than operating from a stable base.

Bottom line: This filing confirms the October warning rather than delivering a new shock: the quarter met the lowered operational bar, but core sales remain weak. The meaningful improvement is balance-sheet repair from the Marucci sale, not a demonstrated return to durable organic growth.
