EveryLife sale closed — $1.0M cash at closing + $4.5M seller note vs previously announced cash consideration
PSQ Holdings closed its EveryLife sale, completing the fintech pivot, but $4.5 million of the $5.5 million price is deferred.
PSQ Holdings is finishing a year-long retreat from consumer commerce to concentrate on payments and consumer financing. That direction was already established: the company had reported EveryLife as discontinued operations, was already operating under a single FinTech segment, and generated $7.1 million of Q2 2026 continuing-operations revenue, up 108% year over year.
The strategic exit is now complete, but the cash benefit is weaker than originally framed. PSQH closed the previously announced $5.5 million sale and is now exclusively a fintech company. 〔0〕 The important change versus the July announcement is consideration: the deal was initially presented as $5.5 million in cash, while the closing delivered only $1.0 million in cash and a $4.5 million promissory note.
| Deal consideration | November 5, 2026 |
|---|---|
| Total consideration (Press release) | $5.5M |
| Cash at closing (Purchase Agreement) | $1.0M |
| Seller-financed note (Purchase Agreement) | $4.5M |
The transaction helps focus the business, but does less immediately for liquidity. PSQH had $8.3 million of cash and restricted cash and $7.3 million drawn on its $10.0 million revolving facility at June 30, 2026, so the difference between $1.0 million of immediate cash and $5.5 million of expected cash is material to a company still managing its funding runway. The filing also makes clear that repayment of the note depends on FreeHold obtaining financing and paying when due; otherwise PSQH would rely on its security interest and the value of the collateral.
This is confirmation of the pivot, not a new operating proof point. The sale had been announced in July and was already expected to close by September 30, 2026, so completion itself is partly known rather than a surprise. The new information is the delayed closing and revised payment mix, which converts much of the expected balance-sheet benefit into a secured but uncertain receivable.
Bottom line: PSQH has removed the last non-fintech business, making the strategic story cleaner. But versus the earlier expectation of cash proceeds, the closing is modestly weaker because most of the $5.5 million is deferred and exposed to repayment risk.
