Debt refinanced — $1.75B new term loan vs. $750M repaid; maturity extended to Nov. 2029
TD SYNNEX’s new debt refinancing pushes maturity to 2029 and creates $1 billion of extra capacity for acquisitions and corporate uses.
TD SYNNEX is a technology distributor and solutions provider using strong AI, data-center and cloud demand to expand its higher-value offerings, while recent results showed record growth in both Distribution and Hyve. The filing removes a nearer-term refinancing issue and creates acquisition capacity. TD SYNNEX replaced the existing $750 million term loan due September 2027 with a $1.75 billion senior unsecured loan due November 2, 2029, with no scheduled amortization. That pushes out the maturity wall and leaves roughly $1 billion of incremental proceeds for general corporate purposes, explicitly including acquisitions.
| New term loan | Repaid term loan | |
|---|---|---|
| Principal (Credit Agreement) | $1,750M | $750M |
| Maturity (Credit Agreement) | November 2, 2029 | September 1, 2027 |
| SOFR margin (Credit Agreement) | 1.00%–1.625% | — |
The benefit is financial flexibility, not operating progress yet. The extra borrowing capacity fits TD SYNNEX’s stated strategy of expanding its portfolio, services and hyperscale capabilities, but the filing announces no acquisition or specific investment. The market therefore gets optionality today, not incremental earnings or confirmed growth.
The trade-off is higher leverage and interest exposure. Debt rises by $1 billion relative to the refinanced balance, while interest remains floating through SOFR plus a rating-based margin. The agreement also imposes a 4.00-to-1.00 funded-debt-to-EBITDA limit, temporarily expandable to 4.50-to-1.00 after a qualifying acquisition, and requires at least 3.00-to-1.00 EBITDA interest coverage. 〔0〕
Bottom line: This is a modestly constructive financing move: it eliminates the 2027 maturity and funds potential acquisitions, but it is only an enabling step until TD SYNNEX deploys the extra $1 billion productively. It improves flexibility while adding leverage, so it advances the story without rewriting it.
