Board settlement — One director nominee, withdrawn activist proposals, and three-year board declassification
Lindsay’s board settlement adds Marvin Washington, ends Vision One’s nominations, and commits the company to phased board declassification.
Lindsay is a water-management and road-infrastructure company, using irrigation equipment and connected technology to serve agricultural customers while expanding its infrastructure business; its current backdrop includes soft agricultural markets and a recent finance-leadership transition.
The immediate issue is governance, not operations. Lindsay has agreed with Vision One to nominate Marvin Washington, a former PwC partner focused on audit, risk and cybersecurity, while Vision One withdraws its October 5, 2026 director nominations and proposals and stops its solicitation campaign. 〔0〕
The settlement removes a near-term proxy fight but gives shareholders a meaningful governance concession. Vision One must generally support the board’s recommendations and is restricted from escalating its position or launching another contest during the agreement’s term; in exchange, Lindsay will seek approval to phase out its classified board so that all directors are elected annually beginning at the Fiscal 2030 Annual Meeting. 〔1〕
The director addition modestly strengthens oversight during a sensitive transition. Washington’s audit, internal-control, regulatory and cybersecurity background fits the company’s stated needs, and the agreement commits the board to appoint him to the Audit Committee after election. 〔2〕 The benefit is governance quality and reduced activist friction, not an improvement to irrigation demand, infrastructure orders or near-term earnings.
The market already knew the direction of travel, so the surprise is mainly in the terms. Vision One’s nomination notice was already in the background; the new information is that Lindsay has converted the challenge into a cooperation agreement, limited the board to nine directors, and accepted a phased declassification process. Vision One’s disclosed 1.35% ownership and the agreement’s standstill provisions also make this look more like a contained settlement than a change in control.
Bottom line: Lindsay has neutralized an activist campaign while accepting a shareholder-friendly governance reform and adding relevant oversight expertise. That modestly improves the company’s governance story, but it does not change the underlying operating trajectory.
