Beat — Non-GAAP EPS $0.24 vs ~$0.22 consensus; revenue $137.1M vs ~$129.8M
PAR Technology’s Q3 earnings beat published expectations, with revenue growth and adjusted EBITDA acceleration offsetting softer subscription margins and higher debt costs.
PAR is in the middle of a software-platform transition: it is assembling point-of-sale, payments, loyalty, ordering and data products into an agentic operating platform, with PAR Intelligence as the AI layer and enterprise deployments as the growth engine. Its prior-quarter trajectory already pointed to accelerating revenue and profitability, so the surprise here is the magnitude of execution rather than a brand-new direction. Published Q3 expectations were roughly $129.8 million of revenue and $0.22 of adjusted EPS.
The quarter cleared expectations on both major scorecard metrics. Revenue reached $137.1 million, about 5.6% above published consensus, while non-GAAP diluted EPS was $0.24 versus roughly $0.22 expected. The filing also shows adjusted EBITDA of $17.1 million, nearly triple the prior-year $5.8 million, supporting management’s claim that operating leverage is arriving alongside growth. 〔0〕
| Metric | Q3 2026 | Q3 2025 | Consensus |
|---|---|---|---|
| Revenue (Financial Highlights) | $137.1M (+15.0%) | $119.2M | ~$129.8M |
| Adjusted EBITDA (Financial Highlights) | $17.1M (+$11.3M) | $5.8M | |
| Non-GAAP diluted EPS (Financial Highlights) | $0.24 (+$0.19) | $0.05 | ~$0.22 |
| Subscription service gross margin (Financial Highlights) | 66.0% (-20 bps) | 66.2% | |
| Cash and cash equivalents (Balance Sheet) | $94.5M | $79.6M | |
| Long-term debt (Balance Sheet) | $423.0M | $374.1M |
The quality of the growth is improving, but margins remain the unfinished part of the story. Subscription revenue grew 14.9% year over year and total revenue grew 15.0%, while GAAP operating loss narrowed to $5.5 million from $17.7 million. However, non-GAAP subscription gross margin slipped to 66.0% from 66.2% in the quarter and to 65.4% from 67.2% year to date. That means PAR is producing more earnings through scale and expense discipline, not yet through expanding software margins.
The beat strengthens the AI-platform narrative without removing balance-sheet pressure. Management says PAR Intelligence should exceed its initial 50,000-site deployment goal by year-end and that it is still investing aggressively in the platform. 〔1〕 At the same time, long-term debt rose to $423.0 million from $374.1 million, and quarterly interest expense increased to $3.3 million from $1.5 million. The business is executing better, but the financing burden is also becoming more visible.
Bottom line: This is a clear earnings beat that materially reinforces PAR’s transition toward a larger, more profitable software and AI platform. The main caveat is that improving profitability still comes with softer subscription margins and a heavier debt load.
