Beat — Diluted EPS $0.07 vs ~$0.05 consensus
Compass earnings were roughly in line on revenue but narrowly beat on EPS and Adjusted EBITDA as merger synergies and cost control begin to show.
Compass is now a much larger, newly combined real-estate platform following its January 2026 acquisition of Anywhere, with the immediate business challenge being to integrate the acquired brokerage, franchise, title, escrow and relocation operations while extracting promised cost synergies and reducing the debt used to fund the deal. The prior Q2 outlook called for Q3 Adjusted EBITDA of $275 million to $305 million.
The quarter beat where execution matters most. Adjusted EBITDA reached $306 million, just above the top of the prior guidance range, while diluted EPS of $0.07 exceeded the published consensus of roughly $0.05; revenue of $3.897 billion was essentially in line with the roughly $3.90 billion consensus. The clean takeaway is modestly better operating execution, not a major demand surprise.
| Q3 2026 | Q3 2025 | Consensus | |
|---|---|---|---|
| Revenue (Income Statement) | $3,897M (111%) | $1,846M | ~$3,900M |
| Diluted EPS (Income Statement) | $0.07 | $(0.01) | ~$0.05 |
| Adjusted EBITDA (Adjusted EBITDA reconciliation) | $306M (+226%) | $94M | — |
| Adjusted EBITDA margin (Adjusted EBITDA reconciliation) | 7.9% | 5.1% | — |
| Free cash flow (Free Cash Flow) | $240M (+224%) | $74M | — |
The merger is adding scale without yet showing organic acceleration across every channel. Reported revenue and transaction volumes more than doubled because Anywhere is now consolidated, but the pro forma comparison is the more revealing one: organic Brokerage GTV grew 7.5% while the U.S. market grew 0.7%, and organic Brokerage transactions fell 0.3% versus a 1.8% market decline. That indicates share gains and better execution in a soft housing market, though not a broad-based volume boom.
Cash generation improves the post-acquisition balance-sheet story, but leverage remains material. Operating cash flow was $248 million and free cash flow was $240 million in the quarter, with $841 million of cash and no revolver balance. Management said net debt to Adjusted EBITDA was 2.7x, down from 4.4x when the Anywhere deal was announced, and expects to have the cash capacity to redeem $500 million of 9.75% notes at the first call date in Q2 2027.
The main caveat is that the earnings improvement is still partly merger-driven and the integration bill is not finished. The company recorded $28 million of Anywhere transaction and integration expenses in Q3 and $245 million year to date, while long-term debt stood at $3.141 billion. The results show the integration is beginning to produce operating leverage, but they do not yet prove that the enlarged company can sustain growth and deleveraging through a weakening housing market.
Bottom line: Compass modestly beat expectations because cost control and early Anywhere synergies pushed EBITDA above guidance while cash flow stayed strong. It advances the integration story, but the larger debt load and still-soft housing market keep this a measured improvement rather than a wholesale change in the thesis.
