Winchester Bancorp approves equity plan; dilution now unlocked

559,581-share equity plan — 559,581 shares authorized; 399,701 options and 159,880 restricted shares/RSUs

Winchester Bancorp’s annual-meeting filing approves a new equity plan, re-elects directors and clears the way for initial stock awards.

Winchester Bancorp is a newly public holding company for Winchester Savings Bank, formed around the bank’s April 30, 2025 mutual-holding-company reorganization and still building its post-conversion governance and compensation structure.

The filing mainly confirms an already disclosed vote, not a new strategic development. The 2026 Equity Incentive Plan was presented in the September 28 proxy, where the company said no awards had yet been made and the plan would become effective only if shareholders approved it. The meeting delivered that expected approval by a wide margin—7,003,694 votes for versus 90,748 against—so the event is confirmation rather than a surprise. The company states that stockholders approved the plan at the November 4 annual meeting. 〔0〕

The meaningful change is that future equity issuance is now authorized. The plan reserves 559,581 shares, split between up to 399,701 stock options and 159,880 restricted stock or restricted stock units—roughly 14% of the shares sold in the company’s offering. 〔1〕 That creates a substantial retention and incentive tool for employees and directors, but also establishes a future dilution overhang; the filing does not disclose the eventual award mix beyond the plan’s automatic initial director grants.

Initial director awards are built into the plan rather than newly negotiated here. Each serving bank director is scheduled to receive 7,500 non-statutory options and 3,000 restricted shares, with those awards vesting 20% per year, subject to specified acceleration provisions. 〔2〕 〔3〕 This is the first concrete implementation step, but it was disclosed before the vote and therefore does not rewrite the operating story.

The remaining meeting results are routine governance housekeeping. Four incumbent nominees were elected for three-year terms, and Wolf & Company, P.C. was ratified as auditor for the six-month transition period ending December 31, 2026. Those outcomes do not change management control, the bank’s operating plan, or its business trajectory.

Bottom line: The filing removes the approval hurdle for a sizable equity-compensation pool and triggers the plan’s initial director awards, but the outcome was already laid out and broadly expected. It matters as a compensation and dilution framework, not as a fresh change to the banking business itself.
