$400M merger — $400M pre-money value; $50M PIPE targeted; Q3 2026 Operating ARR ~$3.7M
BHAV’s acquisition of Nemi creates a public Physical AI story, but the headline growth plan relies on financing, factory expansion and acquisitions not yet signed.
Nemi is a small India-based manufacturing operator trying to turn its own factories into a proving ground for AI-driven engineering, factory automation and eventual manufacturer acquisitions. The merger gives that strategy a public-company funding path, but it also makes clear that the ambitious growth case is still largely ahead of the business rather than already demonstrated.
The transaction materially advances Nemi’s operating plan, but it is not yet closed. BHAV and Nemi signed a definitive business combination agreement, with closing targeted for the first quarter of 2027, subject to shareholder, regulatory and other conditions. 〔0〕 The deal is entirely stock-based at a stated $400 million pre-money equity value, while Nemi is targeting a separate $50 million PIPE.
The proposed cash is meaningful for a company that needs capital to scale factories and build software and robotics. Assuming the PIPE is fully raised and BHAV shareholders do not redeem, the company expects about $142.5 million of cash at closing after expenses. That funding would support capacity expansion, acquisitions, LMM development, robotics and working capital—but the minimum available closing cash condition is only $30 million and can be waived, so the headline funding outcome is not guaranteed.
| Metric | Current / deal figure | Closing target | Longer-term target |
|---|---|---|---|
| Pre-money equity value (Business Combination Agreement) | $400M | ||
| PIPE target (Business Combination Agreement) | $50M | ||
| Cash at closing, assuming full PIPE and no redemptions (Business Combination Agreement) | $142.5M | ||
| Operating ARR (Operating ARR disclosure) | $3.7M | $20M | $120M |
| Open purchase orders (Purchase-order disclosure) | $14M+ | ||
| Indicative LOIs through 2028 (LOI disclosure) | $100M+ |
The central tension is that the growth target is far ahead of the current revenue run-rate and depends on several future actions. Operating ARR was approximately $3.7 million for the quarter ended September 30, 2026, versus management’s approximately $20 million estimate at closing and $120 million target twelve months after closing. The $120 million target includes roughly $30 million of ARR from acquisitions that have not been committed, while the $20 million closing estimate assumes $50 million of pre-closing financing. That makes the targets useful markers of management’s plan, not contracted or independently verified revenue.
The underlying commercial evidence is encouraging but not yet firm enough to remove execution risk. Nemi reports 38% fiscal-2025 growth and 32.5% gross margins in its MaaS business, plus more than $14 million of open purchase orders and over $100 million of non-binding LOIs. The purchase orders are subject to milestones, and the LOIs may never convert into orders or revenue. The company also flags a limited operating history at its current scale, prior losses, customer concentration, India-related risks and substantial doubt about the operating subsidiary’s ability to continue as a going concern, which management says its plans address.
This is a strategic reset for BHAV, but not a clean validation of Nemi’s model. The filing turns a blank-check vehicle into a proposed public platform for an early-stage manufacturing-and-AI strategy, yet the valuation, cash availability and growth case all depend on financing, execution and acquisitions that are not fully secured. No meaningful public operating consensus exists for this newly announced target, so the right benchmark is whether the filing improves the pre-deal funding and commercialization path—not whether it proves the $120 million plan.
Bottom line: The merger gives Nemi the capital framework and public-market route needed to pursue its Physical AI strategy, making the event strategically positive. But the most important growth numbers remain management targets tied to financing, capacity expansion and uncommitted acquisitions, so the news is mixed rather than a completed business inflection.
