Vivmark Residential earnings lift synergies, but costs cloud first quarter

Guidance raised — FY revenue midpoint 2.2% vs prior 2.0%; synergies raised to $135M

Vivmark Residential earnings show improving same-store NOI and higher merger synergies, though integration costs and property taxes remain meaningful drags.

Vivmark is in its first quarter operating as the enlarged apartment platform created by the August 17, 2026 AvalonBay–Equity Residential merger, with more than 185,000 homes and a large development pipeline. Before this filing, management had indicated a roughly 2% same-store revenue outlook but had not yet issued full combined-company earnings guidance.

Underlying operations are holding up better than the accounting headline suggests. Core FFO was $1.03 per share versus $0.98 a year earlier, while merged same-store NOI rose 1.7% on 2.4% revenue growth. The company also reported 95.8% physical occupancy and a 3.1% blended leasing rate, indicating that rent momentum and occupancy remain broadly intact.

The merger is producing a modestly better synergy case, not a clean earnings step-up yet. Expected annual net run-rate operating synergies increased by $10 million to $135 million, with full realization still targeted for March 2028. Merger-related costs are now estimated at $725 million, $25 million below the initial estimate, but the quarter still absorbed $544 million of merger-related costs in the Core FFO reconciliation.

The main operational pressure is expense growth, especially taxes. Full-year expenses are guided to rise 4.4% at the midpoint against 2.2% revenue growth, limiting same-store NOI growth to 1.1%. The company specifically expects merger-related California property-tax assessments to add about $16 million of 2026 expense and $50 million annually beginning in 2027.

Development provides the longer-term growth engine, but it remains capital intensive. Vivmark completed 761 wholly owned homes during the quarter and ended September with $3.8 billion of development underway at a projected 6.2% yield on cost. That supports the company’s growth narrative, but the pipeline still requires roughly $1.5 billion of remaining investment, so the payoff depends on successful lease-up and cost control rather than immediate earnings contribution.

Bottom line: The first post-merger quarter validates the operating base and modestly improves the synergy outlook, but heavy integration costs and above-revenue expense growth keep this from being a decisive earnings upgrade. The business is progressing, though the financial payoff from the merger remains mostly ahead rather than fully delivered.
