Holley Inc. (HLLY) · Nov 5, 2026 · Earnings
Miss — Adj. EPS $0.06 vs ~$0.07 consensus; revenue $141.6M vs ~$145.8M
Holley’s Q3 earnings missed published sales and EPS expectations, while stronger margins and deleveraging were offset by narrower 2026 guidance.
Holley is in the middle of a portfolio cleanup: exiting lower-priority Restoration brands, expanding national retail distribution, and concentrating investment on its core automotive aftermarket categories. The national retailer rollout was already announced before this report, so the quarter is mainly a test of whether that strategy is translating into sales and cash generation.
The quarter missed the published bar on both major headline measures. Revenue was $141.6 million versus a published consensus of about $145.8 million, while adjusted diluted EPS was $0.06 versus roughly $0.07 expected. The shortfall is modest, but it matters because the company is trying to prove that portfolio simplification and new retail placement can overcome a cautious consumer environment.
| Metric | Q3 / FY26 | Comparison | Consensus / Prior guide |
|---|---|---|---|
| Net sales (Financial Statements) | $141.6M (-) | $138.4M | ~$145.8M |
| Adjusted diluted EPS (Adjusted Diluted EPS) | $0.06 | $(0.01) | ~$0.07 |
| Adjusted EBITDA (Adjusted EBITDA reconciliation) | $29.4M (+8.6%) | $27.1M | |
| Adjusted EBITDA margin (Adjusted EBITDA reconciliation) | 20.8% (+1.2 pts) | 19.6% | |
| Free cash flow (Free Cash Flow reconciliation) | $8.8M (+60.2%) | $5.5M | |
| Leverage ratio (TTM leverage table) | 3.50x (-0.25x) | 3.75x | |
| FY26 net sales guidance (Outlook) | $610M-$625M | $610M-$640M | |
| FY26 adjusted EBITDA guidance (Outlook) | $127M-$132M | $127M-$137M |
The underlying profit and cash performance was better than the headline miss. Adjusted EBITDA rose 8.6% year over year and margin expanded to 20.8%, helped by lower research and development spending, lower operating expenses, and the portfolio simplification effort. Free cash flow also improved to $8.8 million, giving Holley room to reduce debt. The filing says, “The third quarter demonstrated continued progress across sales growth, profitability, cash generation, and balance sheet strength.” 〔0〕
Deleveraging is the clearest tangible advance in the business story. Debt fell by $25 million during the quarter, and the leverage ratio reached 3.50x, ahead of the company’s year-end target. The filing states, “We reduced debt by $25million, inclusive of the previously announced $15million repayment, bringing cumulative debt reduction to $125million since September 2023.” That improves financial flexibility, but it does not erase the fact that year-to-date sales growth remains only 0.6%.
Management became more conservative on the outlook rather than fully resetting the plan. Revenue, adjusted EBITDA, and interest-expense ranges were narrowed, with the top ends reduced from $640 million to $625 million, $137 million to $132 million, and $47 million to $44 million, respectively. The company explicitly says the ranges “have been narrowed but remain within the previously communicated ranges,” so this is a downward refinement—not a formal collapse in guidance. 〔1〕
Bottom line: Holley is executing better on margins, cash flow, and debt reduction, but the quarter did not validate the growth case: sales and EPS missed expectations, and the outlook was tightened lower. The business is improving operationally, yet demand remains the unresolved constraint.
