Priority Technology earnings show growth, but margins weaken before buyout

In line — Q3 revenue $268.6M; adjusted EBITDA $60.9M; no published consensus found

Priority Technology’s Q3 earnings showed double-digit revenue growth and higher adjusted EBITDA, but weaker margins and no new outlook leave the operating story mixed.

Priority Technology is a payments and banking platform spanning merchant services, payables, and treasury solutions; its earlier 2026 plan called for $1.01–$1.04 billion of revenue and $230–$245 million of adjusted EBITDA, while the company agreed in September 2026 to be acquired for $8.05 per share and taken private.

Underlying operations continued to grow, broadly tracking the existing plan. Third-quarter revenue rose 11.3% to $268.6 million, while adjusted EBITDA increased 5.5% to $60.9 million. Merchant Solutions and Treasury Solutions remained the main engines: their quarterly adjusted EBITDA reached $32.6 million and $48.1 million, respectively (Segment results). The nine-month totals—$780.4 million of revenue and $178.4 million of adjusted EBITDA—leave the company needing roughly $229.6–$259.6 million of fourth-quarter revenue and $51.6–$66.6 million of adjusted EBITDA to land within its previously issued annual ranges.

The quality of growth softened. Adjusted gross margin fell to 38.2% from 39.2%, and operating income declined to $35.9 million from $37.8 million despite the revenue increase (Financial Highlights; Income Statement). The earnings comparison is also distorted by last year’s large tax benefit, so adjusted EPS is the cleaner measure of continuing profitability; even there, the gain was modest rather than a major acceleration.

The filing removes the normal forward-looking benchmark. Because of the pending transaction, Priority said it would not provide guidance updates or host future earnings calls, meaning this release does not establish a new outlook against which the market can measure execution. 〔0〕 The merger itself was already announced on September 21, 2026, so the go-private context is not new; the new information is that the business is still growing, but with some margin pressure, while public-company disclosure is winding down. 〔1〕

Bottom line: This was a decent operating quarter, not a decisive upgrade: growth remains intact and adjusted earnings improved, but margin compression and the loss of guidance make the business story only modestly better—and largely secondary to the pending take-private deal.
