10-for-1 consolidation — 10-for-1 Class A share consolidation effective November 10, 2026
OFA Group’s latest reverse split is meant to preserve its Nasdaq listing, but the repeat action signals the first reset did not solve the underlying price problem.
OFA is a small architecture and fit-out business trying to build an AI-enabled AEC software story while defending its Nasdaq listing. Nasdaq had already given the company until December 7, 2026 to cure a $1 minimum-bid-price deficiency, and OFA had disclosed a reverse split as its intended remedy; it also completed a 1-for-10 consolidation on July 31, 2026.
This filing confirms a second, much larger reset rather than a new operating milestone. Every ten Class A shares will become one effective November 10, cutting issued Class A shares from 9,000,910 to approximately 900,093. The stated purpose is to support continued Nasdaq listing, not to improve revenue, margins, cash generation, or the architecture/AI business itself.
The repeat consolidation is the negative signal embedded in an otherwise mechanical listing action. The direction was already known because management had previously pointed to a reverse split as the cure; the new information is that another 10-for-1 move is required only a few months after the July consolidation. That implies the first reset did not create a durable solution to the bid-price problem, although the filing does not state whether Nasdaq has already confirmed compliance after this action.
The capital-structure effect is mostly arithmetic, not fresh dilution. Options, warrants, convertibles, and equity-plan reserves will be adjusted proportionally, while Class B shares and Series A preferred shares are excluded.
Bottom line: This protects OFA’s Nasdaq access but is not business progress; the need for a second reverse split makes the listing problem look persistent rather than solved. A formal Nasdaq compliance confirmation is the next meaningful test.
Nasdaq compliance confirmation before December 7, 2026
