In line — Adjusted EPS $0.31 vs ~$0.31 consensus; revenue $225.9M vs ~$225.0M
LSI Industries earnings met published estimates, but organic sales declined as Royston supplied most of the growth and Lighting weakened.
LSI is entering fiscal 2027 as a newly enlarged retail-branding platform: the March 2026 Royston acquisition is meant to broaden its display and retail-solutions business beyond traditional commercial lighting. The prior fiscal year ended with record sales, strong Display Solutions momentum, and management positioning Royston integration and cross-selling as the main growth engine.
The headline growth is acquisition-led, not broad-based. Revenue rose 44% to $225.9 million, essentially matching the published expectation of about $225.0 million, but organic sales fell 2% because Lighting weakened and comparable Display Solutions sales rose only 1%. The filing makes clear that Royston supplied $72.4 million of the quarter’s sales, or nearly one-third of total revenue. 〔0〕
| Q1 FY27 | Q1 FY26 | Consensus / prior quarter | |
|---|---|---|---|
| Net sales (Income Statement) | $225.9M (+44%) | $157.2M | ~$225.0M consensus |
| Adjusted diluted EPS (Adjusted net income reconciliation) | $0.31 | $0.31 | ~$0.31 consensus |
| Reported diluted EPS (Income Statement) | $0.19 (-18%) | $0.23 | |
| Adjusted EBITDA (Net Income to Adjusted EBITDA) | $22.2M (+41%) | $15.7M | |
| Adjusted EBITDA margin (Net Income to Adjusted EBITDA) | 9.8% | 10.0% | |
| Organic net sales (Organic compared to Inorganic Sales) | $153.4M (-2%) | $157.2M | |
| Net debt / adjusted EBITDA (Net Debt to Adjusted EBITDA Ratio) | 2.6x | 2.7x prior quarter |
The operating result is better than the GAAP earnings line suggests, but not a clean acceleration. Adjusted EBITDA grew 41% and free cash flow reached $13.8 million, while reported net income declined 2% and reported diluted EPS fell to $0.19. The gap reflects higher amortization from acquisitions and interest expense, so the underlying operation held up better than GAAP profit; however, adjusted EBITDA margin still slipped from 10.0% to 9.8%, meaning the large revenue increase did not yet create operating leverage.
Royston is showing early execution, but the strategic payoff remains ahead. Display Solutions revenue rose 83% overall, while comparable sales increased only 1%; Royston itself posted 8% standalone sales growth and improved its adjusted EBITDA margin sequentially. The cross-selling thesis has some support from higher Display Solutions orders, a 4% increase in backlog, and a newly approved 3,000-store QSR renovation program, but that program does not begin until late fiscal Q3. 〔1〕
Cash generation reduced the integration burden. Free cash flow covered more than 60% of adjusted EBITDA, and net debt fell $14.3 million from June 30, bringing leverage down to 2.6x. That is a genuine positive in a quarter where interest expense more than quintupled year over year, but leverage remains materially higher than before the Royston purchase, so debt reduction is still part of the integration story rather than a finished task.
Bottom line: The quarter lands broadly in line with expectations: Royston is adding scale, cash flow, and early operating progress, but the legacy business is not yet growing organically. The story advances modestly, not decisively, because acquisition-driven growth is masking softness in Lighting and only limited comparable Display Solutions growth so far.
3,000-store QSR renovation begins late Q3 FY27
