Payoneer Global Inc. (PAYO) · Nov 5, 2026 · Earnings
In line — No reliable published consensus; ex-interest revenue $222.2M, +5% YoY
Payoneer’s third-quarter earnings show the upmarket pivot gaining traction through rapid B2B growth, while lower take rates and weaker EBITDA temper the result.
Payoneer is in the middle of an upmarket shift toward larger B2B and enterprise payment customers while preparing to be acquired by Nuvei. The earlier deal framework already pointed to a targeted mid-2027 closing, and shareholder approval was obtained on September 14, 2026, so the merger update in this release is mostly confirmation rather than a new business catalyst.
The strategic pivot is producing real volume growth. Total volume reached $25.3 billion, up 13% year over year, with B2B volume rising 59% to $5.0 billion and enterprise payouts up 14% to $7.4 billion (Third Quarter 2026 Business Highlights). The strongest growth is concentrated in the higher-value areas management is trying to build, while marketplace SMB volume was nearly flat at 1% growth.
The quality of that growth is less clean than the headline suggests. Revenue excluding interest income grew only 5% to $222.2 million against 13% volume growth, while the overall take rate fell to 109 basis points from 121 basis points a year earlier (Third Quarter 2026 Financial Highlights). That implies Payoneer is processing substantially more money but monetizing each dollar at a lower rate; the decline in marketplace SMB revenue, down 5%, adds another pressure point.
| Metric | 3Q 2026 | 3Q 2025 | YoY change |
|---|---|---|---|
| Revenue ex. interest income (Financial Highlights) | $222.2M (+5%) | $211.4M | |
| Total revenue (Financial Highlights) | $276.9M (+2%) | $270.9M | |
| Volume (Operational Metrics) | $25.3B (+13%) | $22.3B | |
| Take rate (Operational Metrics) | 109 bps (-12 bps) | 121 bps | |
| Adjusted EBITDA (Financial Highlights) | $68.3M (-4%) | $71.3M | |
| Adjusted EBITDA ex. interest income (Financial Highlights) | $13.6M (+16%) | $11.7M | |
| Net income (Income Statement) | $14.9M (+6%) | $14.1M |
Underlying earnings are mixed rather than a clean acceleration. GAAP net income improved to $14.9 million, helped by a swing to net financial income, but operating income fell to $25.1 million from $36.3 million as research and development and depreciation expenses increased (Income Statement). Adjusted EBITDA also declined 4%, although adjusted EBITDA excluding interest income rose 16%; that ex-interest measure better reflects the operating transition because interest income fell 8% as rates declined.
The Nuvei transaction remains on schedule but does not change the quarter’s operating read. The release repeats shareholder approval and progress toward regulatory approvals, with no revised timing or new closing condition disclosed (Business Highlights; Forward-Looking Statements). That keeps the transaction as the main structural next step, but it was already broadly known before this earnings release. 〔0〕
Bottom line: Payoneer is proving that its B2B and enterprise strategy can drive faster payment volume, but weaker take rates and lower adjusted EBITDA show the growth is not yet translating cleanly into operating leverage. The quarter modestly advances the business story, without fundamentally changing it.
