Six Flags earnings hold up, but Q4 EBITDA outlook slips

In line — Q3 revenue $1.17B vs ~$1.16B consensus

Six Flags earnings show modest same-park growth and stronger cash flow, but October weakness and a safety incident lower the near-term EBITDA outlook.

Six Flags is still in the post-merger integration and turnaround phase, trying to grow the combined park network while expanding margins, building a larger pass base, and reducing heavy debt. The prior record emphasized merger synergies, cost savings, and a return to EBITDA growth; this filing shows that progress is real, but uneven.

The quarter itself was broadly in line, not a clean upside surprise. Same-park revenue rose 1.4% and Adjusted EBITDA rose 1.1%, while attendance was essentially flat; the published revenue consensus was about $1.16 billion, putting the $1.17 billion result modestly ahead. The improvement came more from pricing, fewer complimentary tickets, and extra operating days than from stronger underlying traffic.

The important change is the weaker near-term setup. October was below plan because of bad weather, the Six Flags Over Georgia incident, and related proactive ride closures. Management now expects Q4 Adjusted EBITDA of $140 million to $150 million, below the $166.9 million generated in the comparable quarter. That does not overturn the turnaround, but it interrupts the promised clean progression of year-over-year EBITDA growth and adds a safety-related operating overhang.

Cash generation improved materially, although part of the gain is timing-driven. Nine-month free cash flow reached $257.3 million versus negative $42.9 million a year earlier, helped by lower capital spending, a $43.5 million tax refund, and better operations. The balance sheet is less pressured than last year, with $1.06 billion of liquidity and $275 million of debt reduction, but 5.8x net leverage remains high for a seasonal business.

The pass strategy is working, but next year's demand signal is less robust than the current base. The active pass base was up 7.1% at the end of September, supporting a 1.5% same-park attendance increase for the first nine months. However, management expects to enter 2027 with approximately 3.7 million passholders and members, flat to slightly up, so the current momentum is not yet translating into an acceleration in forward bookings. 〔0〕

Lower capital spending improves near-term cash protection but delays some growth projects. The company cut its 2026 capital expenditure outlook to $350 million–$375 million from $400 million–$425 million, citing timing of large new rides while keeping maintenance, safety, and compliance spending funded. That is helpful for liquidity, but it also means some guest-facing growth investments are being pushed out rather than funded immediately.

Bottom line: Six Flags is executing well enough to keep the post-merger recovery intact, but this was not a decisive beat. The Q3 operating numbers were roughly on plan; the softer October, safety disruption, and lower Q4 outlook make the near-term story more mixed and slightly weaker than before.
