Sole voting control — Bruno moved from ~49.9% to 100% of Class B voting stock
Brady’s change-of-control filing gives Elizabeth Bruno sole voting power through a no-cash share exchange, while leaving operations unchanged.
Brady is entering a major operating transition after acquiring Honeywell’s Productivity Solutions and Services business for $1.4 billion, expanding beyond identification and safety products into a broader productivity-solutions platform; management’s fiscal 2027 plan assumes the acquired business contributes about $1.15 billion of revenue.
The filing changes governance, not the operating plan. William H. Brady III exchanged all 1,769,314 of his Class B shares for the same number of newly issued Class A shares, with no cash paid by either side. 〔0〕 〔1〕 The practical result is that Elizabeth Bruno moves from shared control with Mr. Brady to sole control of the company’s voting stock.
That concentration is the main negative change versus the prior structure. Brady was previously governed through roughly equal Class B ownership by Mr. Brady and Dr. Bruno; the filing removes that balance and makes the company a controlled company under NYSE rules. 〔2〕 〔3〕
The immediate governance impact is limited by Brady’s stated choices. Bruno leaves committees that must be made up of independent directors, but the board says it will not use the governance exemptions available to controlled companies and expects to continue complying with the ordinary NYSE requirements. 〔4〕 Mr. Brady is also locked up from transferring the new Class A shares for 24 months, reducing immediate resale pressure but creating a future registration and ownership-overhang issue.
Bottom line: This is a meaningful control change, but not a change to Brady’s acquisition strategy, financial outlook, or day-to-day business. The story is slightly weaker because voting power is now concentrated in one insider, even though the company says it will retain standard governance protections.**
