Latigo CEO change keeps Phase 3 on track but adds uncertainty

CEO transition — Todd Smith replaces Nima Farzan effective November 3, 2026

Latigo’s earnings filing brings a surprise CEO transition, a larger opioid-comparator Phase 3 design and no change to the 2027 data timeline.

Latigo is a newly public, clinical-stage pain company using its August 2026 IPO proceeds to push onzotrigine toward Phase 3 while advancing LTG-321 in chronic pain; its prior plan was to start the onzotrigine Phase 3 program in the second half of 2026 and report results in the second half of 2027.

The biggest news is an unexpected leadership handoff, not the quarter’s financials. Todd Smith replaced Nima Farzan as president and CEO on November 3, with Farzan leaving the board but remaining an employee through January 1, 2027 and a consultant through December 31, 2027. The filing says the departure was not caused by a disagreement, which makes this look like a managed transition rather than a disclosed operational rupture, but it still introduces uncertainty at the point when Latigo is moving into its most important clinical execution phase. 〔0〕

Operationally, the pipeline is advancing, but the filing does not prove that Phase 3 has started. Latigo still says the bunionectomy Phase 3 and open-label safety studies are “on track” for initiation, while adding a Percocet comparator and expanding the bunionectomy study to approximately 480 patients. That design could produce more commercially relevant opioid-sparing data, but it also increases trial complexity and likely execution demands; importantly, the prior second-half-2026 initiation window remains a plan rather than a completed milestone. 〔1〕

The clinical read-through is encouraging but still indirect. The company highlights an earlier abdominoplasty analysis in which 36% of onzotrigine patients achieved more than 70% pain reduction at 24 hours, versus 24% for the opioid comparator and 13% for placebo. That supports the rationale for testing against a stronger opioid comparator, but it is not new randomized Phase 3 evidence and does not remove the risk that the larger bunionectomy program produces a different result. 〔2〕

The balance sheet is comfortable enough to keep the programs moving. Cash and cash equivalents and restricted cash reached $401.4 million at September 30, 2026, and management continues to expect funding into 2029. That was broadly established by the IPO and prior filing, so it is confirmation rather than a new financing catalyst.

Q3 2026Q3 2025
Cash and equivalents (Balance Sheets)$401.4M
R&D expense (Statements of Operations)$17.5M (-20.8%)$22.1M
G&A expense (Statements of Operations)$5.4M (+106.7%)$2.6M
Net loss (Statements of Operations)$20.9M (-15.5%)$24.8M

The new CEO’s package is substantial for a pre-revenue biotech. Smith receives a $775,000 base salary, a 70% target cash incentive and an option award with a $20 million grant-date fair value; two additional executives also received options covering 525,000 shares. The filing does not provide enough information to quantify the eventual dilution, but the package adds a meaningful compensation commitment during a period when the company is still entirely dependent on clinical execution. 〔3〕

Bottom line: Latigo’s development plan remains intact and well funded, but the surprise CEO replacement makes the story less clean just as Phase 3 execution begins. The filing is therefore modestly negative on uncertainty, not because the pipeline was cut or the cash position weakened, but because the most important upcoming milestone is still only described as “on track.”
