Beat — Revenue $727.9M vs ~$679.3M consensus
Real REMAX earnings beat revenue expectations in its first combined quarter, with early cost savings offset by acquisition costs, debt and agent attrition.
Real REMAX is in the first phase of integrating Real’s technology-led brokerage with REMAX’s global franchise network, while trying to extract synergies and reduce the debt used to fund the August 24 acquisition. The merger and roughly $30 million of expected annual run-rate savings were already known before this report, so the new information is how quickly the combined platform is translating that plan into operating results.
| Metric | Q3 2026 | Q3 2025 | Consensus |
|---|---|---|---|
| Revenue (Table 1) | $727.9M (+28%) | $568.5M | ~$679.3M |
| GAAP net loss (Table 1) | $(67.2M) | $(0.3M) | |
| Diluted EPS (Table 1) | $(2.25) | $(0.02) | |
| Adjusted EBITDA (Table 4) | $33.8M (+66%) | $20.4M | |
| Adjusted EBITDA margin (Table 4) | 4.6% | 3.6% |
The top-line result cleared the available benchmark, but the comparison is imperfect. Revenue of $727.9 million exceeded the published consensus of roughly $679.3 million, a meaningful beat, although the quarter includes REMAX operations only from August 25 and therefore is not a clean full-quarter comparison. On a pro forma basis, combined revenue grew 20% year over year, suggesting the underlying platform was growing beyond simple acquisition accounting.
The more useful early signal is that integration savings are already appearing in adjusted profitability. Adjusted EBITDA rose 66% to $33.8 million and margin expanded to 4.6% from 3.6%. Management says it has actioned more than $40 million of annualized gross cost savings in two months, including approximately $28 million that benefits adjusted EBITDA. That is ahead of the original synergy framing in speed and establishes an early proof point for the merger thesis.
GAAP earnings remain heavily burdened by the transaction and the new capital structure. The company reported a $67.2 million net loss, including $52.3 million of acquisition-related expenses, while interest expense rose to $5.9 million from essentially zero a year earlier. The loss is not a clean read on steady-state operations yet, but it shows the cost of achieving the combination is real and that deleveraging will matter to the eventual earnings conversion.
The integration story has an early operating blemish: agent retention. Real ended September with 36,610 agents, up 21% year over year, but had fallen to approximately 36,200 by November 3, with more than 500 October departures proactively offboarded for unpaid dues or expired licenses. 〔0〕 REMAX’s global agent count was broadly stable at 148,088, but its U.S. and Canada count declined 3%, leaving the combined platform to prove that technology integration can improve retention rather than merely add scale.
The new 2027 outlook gives the market a measurable integration target, not a full earnings reset. Management expects $175 million to $190 million of adjusted EBITDA in 2027 despite assuming a 5%–10% decline in U.S. existing-home sales and a 3%–4% decline in home prices. That outlook is broadly consistent with the merger’s previously stated first-full-year synergy logic, but the filing does not provide a published consensus for comparison. The $525 million term-loan balance after a voluntary $25 million repayment also means cash generation and debt reduction remain central execution tests.
Bottom line: This is an encouraging first combined quarter: revenue beat the available benchmark and synergy capture started faster than expected. The result is only modestly positive because the business still carries a large GAAP loss, significant acquisition debt and early signs of agent attrition.
