MIDDLEBY Corp (MIDD) · Nov 5, 2026 · Earnings
Beat — Adjusted EPS $2.07 vs ~$1.75 consensus; revenue $652.6M vs ~$634M
Middleby earnings beat published revenue and EPS expectations, with strong organic growth and a higher 2026 outlook after the Midera spin-off.
Middleby is now a focused commercial-foodservice company after separating Food Processing into Midera, and this is the first quarter showing that post-spin operating profile clearly. The business is growing organically while using cash generation and share repurchases to simplify the portfolio and reduce debt. The separation itself was already known; the surprise is how strongly the remaining business is executing.

The quarter was a clear operating beat, not just a portfolio-accounting effect. Organic sales rose 7.7%, revenue exceeded the published consensus by roughly $19 million, and adjusted EPS of $2.07 was well above the roughly $1.75 expectation. Adjusted EBITDA also cleared the top of the company’s prior $143 million-$150 million range, with margin improving to 23.9% despite higher restructuring, transaction and facility-consolidation costs. The company explicitly said performance exceeded the high end of its sales, EBITDA and EPS guidance ranges. 〔0〕
Management converted the beat into a meaningful outlook raise. Full-year sales guidance moved from $2.48 billion-$2.53 billion to $2.519 billion-$2.534 billion, while adjusted EPS guidance rose from $6.73-$6.89 to $7.13-$7.29. That is more important than the backward-looking beat because it says the stronger commercial-foodservice momentum is carrying into the remaining quarter rather than being treated as a one-off. The prior quarter had already established a positive direction, so the new information is the magnitude and the follow-through.
The reported GAAP earnings still show transition costs beneath the cleaner adjusted result. Continuing-operations GAAP diluted EPS fell to $0.43 from $1.55, pressured by a $38.7 million equity loss from an affiliate, $25.9 million of brewing closure-related charges and a $20.4 million impairment. Those items do not overturn the core operating read, but they show the post-spin simplification is still carrying accounting and restructuring noise. The filing also shows net debt down to $1.64 billion from $2.01 billion at year-end and leverage at 2.8x, giving the company more balance-sheet room after the portfolio separation.
The refinancing is supportive but secondary to the earnings signal. Middleby amended its five-year credit agreement into a $1.0 billion term loan and $2.0 billion revolving facility, with approximately $1.4 billion of borrowing availability. That improves financial flexibility, but the filing’s material change is operational: the focused foodservice business is outperforming its own plan while guidance moves higher.
Bottom line: Middleby delivered a genuine post-spin operating beat and raised the full-year bar, strengthening the story that the focused commercial-foodservice business is executing ahead of plan. The remaining caveat is transition-related charges, not weak core demand or margins.
