Miss — Adjusted EPS $3.58 vs ~$3.61 consensus
Global Payments’ third-quarter earnings narrowly missed consensus, while stronger Worldpay integration lifted its expense-synergy target to $650 million.
Global Payments is in the first full-year phase of rebuilding around Worldpay: the acquisition has reshaped its revenue base, Issuer Solutions has been divested, and the operating story now depends on integrating the combined payments platform while converting scale into organic growth and cost savings. The prior plan called for roughly $600 million of Worldpay run-rate expense synergies by year-end 2028; the company had also been targeting more than $650 million of annual run-rate operating-income benefit from broader transformation initiatives.
The quarter was slightly below the earnings bar, not a major operational break. Adjusted diluted EPS was $3.58 versus a published consensus of about $3.61, while adjusted net revenue was $3.182 billion versus roughly $3.21 billion expected. That makes this a narrow miss rather than a collapse in execution. The filing says, “Our full year outlook is unchanged.” 〔0〕
| Q3 2026 | Q3 2025 | Consensus | |
|---|---|---|---|
| Adjusted net revenue (Financial Highlights) | $3.182B (+31.0%) | $2.429B | ~$3.21B |
| Adjusted diluted EPS (Financial Highlights) | $3.58 (+9.8%) | $3.26 | ~$3.61 |
| Adjusted operating income (Financial Highlights) | $1.353B (+23.8%) | $1.093B | |
| Normalized adjusted operating margin (Management commentary) | 42.5% (+220 bps) |
The more important strategic signal is that Worldpay integration is progressing faster on savings than on clean organic growth. Management increased its run-rate expense-synergy target to $650 million and said it had made “substantial progress integrating Worldpay.” That strengthens the cost-out case, but the normalized business grew adjusted net revenue by only “over 4%,” right around the company’s existing 4%–5% full-year target rather than resetting the growth story higher. 〔1〕
The underlying mix is uneven. Enterprise and Platforms posted strong adjusted revenue growth, but SMB adjusted operating income fell to $928.0 million from $1.313 billion, even as SMB adjusted revenue grew 17.9%. Corporate/Other losses also widened to $511.5 million from $238.0 million, reflecting the heavy integration and transformation burden. Those costs are being excluded from adjusted results, with third-quarter earnings adjustments including $754.5 million of acquired-intangible amortization and $222.4 million of acquisition, integration and separation expenses.
Cash conversion remains the weak spot. Nine-month operating cash flow was only $212.9 million versus $2.141 billion a year earlier, despite adjusted net income of $2.692 billion; the filing also shows cash and cash equivalents falling to $5.570 billion from $8.336 billion at year-end. The company did generate $7.362 billion from business sales and repaid $20.411 billion of long-term debt, so this is partly a transaction-and-balance-sheet transition issue rather than a pure deterioration in the continuing payments engine. Still, it leaves less room for error while integration spending and leverage remain elevated.
Bottom line: This was a narrow earnings miss with unchanged guidance, offset by a better-than-expected integration milestone. The business is advancing on cost synergies, but the filing does not yet show a cleaner growth or cash-flow inflection, so the overall story is modestly weaker rather than materially changed.
